What You'll Do

Ready to work on transactions that shape the future of businesses? As a Manager/Senior Manager in our M&A Tax practice, you'll serve as a trusted advisor to clients navigating complex transactions, partnering directly with private equity firms, closely held businesses, strategic buyers, and corporate leadership teams. You'll lead sophisticated tax engagements from diligence through integration, drive client relationships, mentor team members, and help grow a rapidly expanding M&A Tax practice.

This is an opportunity to play a significant role in client outcomes, practice development, and team leadership while working on high-impact transactions across a diverse range of industries.

Client Leadership & Relationship Management

  • Serve as a primary point of contact for clients and provide day-to-day leadership on engagements

  • Develop and maintain strong client relationships, acting as a trusted advisor on transaction-related tax matters

  • Lead multiple engagements simultaneously while managing scope, timelines, budgets, and client expectations

  • Identify opportunities to expand client relationships and collaborate with firm leadership to deliver additional value

  • Present findings, recommendations, and transaction-related insights to clients, stakeholders, and engagement teams

M&A Tax Advisory & Technical Leadership

  • Lead and oversee complex M&A tax engagements, including:

    • Tax due diligence

    • Transaction structuring

    • Tax attribute analysis

    • Tax modeling

    • Internal restructurings

    • Post-transaction planning and integration

  • Evaluate tax risks and opportunities associated with acquisitions, divestitures, reorganizations, and financing transactions

  • Provide technical direction on complex federal, state, and international tax considerations impacting transactions

  • Review analyses, workpapers, and deliverables to ensure technical accuracy and high-quality client service

  • Stay current on evolving tax legislation and market trends affecting M&A activity

Team Development & Practice Leadership

  • Lead, coach, and mentor staff and senior-level professionals, fostering technical development and career growth

  • Manage engagement teams and allocate resources to meet client and firm objectives

  • Provide training and technical guidance on transaction tax matters and industry developments

  • Promote a collaborative and high-performance team environment

  • Participate in recruiting, interviewing, onboarding, and retention initiatives

Business Development & Practice Growth

  • Support practice growth through participation in proposals, networking activities, and business development initiatives

  • Collaborate with partners and firm leadership to identify new opportunities and enhance service offerings

  • Develop market presence through thought leadership, industry involvement, and relationship-building activities

  • Contribute to strategic initiatives that support continued expansion of the M&A Tax practice

Operational Excellence

  • Drive engagement profitability, efficiency, and quality through effective project management

  • Identify and implement process improvements and best practices across engagements

  • Ensure adherence to firm standards, risk management policies, and quality control procedures

Who You Are

Required

  • Manager: 5-8 years of progressive public accounting experience, including at least 3 years in a dedicated M&A Tax, Transaction Advisory, Transaction Services Tax, or Deals Tax practice

  • Senior Manager: 8+ years of progressive public accounting experience, including at least 5 years in a dedicated M&A Tax, Transaction Advisory, Transaction Services Tax, or Deals Tax practice

  • Demonstrated experience leading buy-side and/or sell-side tax due diligence engagements

  • Experience with transaction structuring, tax modeling, and tax attribute analysis

  • Experience advising private equity firms, strategic acquirers, and/or closely held businesses on transaction-related tax matters

  • CPA, JD, or advanced tax degree preferred

  • Proven ability to manage multiple concurrent engagements and lead client relationships

  • Strong leadership, project management, and team development skills

  • Exceptional verbal and written communication skills with the ability to present complex tax matters to clients and executive stakeholders

Preferred

  • Experience in a national or Big 4 Transaction Advisory Services (TAS), Deals, M&A Tax, or Transaction Services Tax practice

  • Experience supporting middle-market transactions

  • Experience with post-acquisition integration, internal restructurings, and Section 382 studies

  • Experience mentoring and developing junior transaction advisory professionals

  • Involvement in business development, proposals, or thought leadership within the transactions space

Estimated Base Range: $85,000 -$250,000*

*Base compensation offered to candidates are determined based on factors such as candidate's relevant skillset, experience, licensure, and certifications, as well as job responsibilities, geography, market considerations, and organizational needs.
