ATI is excited to add to our legal team at our Global Corporate Headquarters in Dallas, TX! The Senior Paralegal - Corporate Governance and Securities will report to the Vice President, Corporate Secretary and support the legal department in managing corporate governance, securities compliance, and public company reporting obligations. This role assists with preparing and filing SEC reports, maintaining corporate records, and preparing for meetings of the Board of Directors. This is an exciting role that works on high profile projects and matters and works closely with our Board of Directors and C-suite. This is an onsite position in our Dallas office 5 days per week.
Key Responsibilities
Board of Directors
  • Assist in preparing materials for Board of Directors and committee meetings and annual shareholder meetings, including agendas and meeting minutes
  • Coordinate Board of Directors and committee meeting logistics, including booking travel, scheduling meetings and managing meeting calendars.
  • Facilitate the distribution of board materials through board portal systems (e.g., Diligent) and ensure timely delivery to directors.

SEC Filings
  • Assist with preparation and filing of SEC reports, including Forms 10-K, 10-Q, and 8-K, proxy statements, and Section 16 filings.
  • Coordinate with finance, investor relations, and outside counsel on securities filings and disclosures.
  • Track regulatory deadlines and ensure timely filings and compliance with SEC and stock exchange requirements.

Corporate Governance
  • Maintain and organize corporate governance records, including board minutes, resolutions, and committee materials.
  • Assist with stock administration matters, including equity grants and related documentation.
  • Lead domestic and foreign subsidiary corporate governance management, including forming or dissolving entities
  • Assist with preparation of disclosure materials and corporate governance documentation.

Other
  • Support due diligence and documentation for corporate transactions, financings, and other legal matters as needed.
  • Assist in other matters that may be assigned from time to time.

Qualifications
  • Bachelor's degree and/or Paralegal Certificate from an accredited program.
  • Minimum 10 years of paralegal experience, at least 5 years' experience as a corporate or securities paralegal at a public company.
  • Strong knowledge of corporate governance practices.
  • Experience with EDGAR filing systems and Section 16 reporting tools.
  • Experience interacting with Board of Directors of a public company.
  • Experience using software tools such as Diligent, Boardvantage and Workiva.
  • Strong analytical and organizational skills with the ability to manage multiple priorities under tight deadlines.
  • Excellent communication, relationship management, and problem-solving abilities.
  • High attention to detail, discretion, and professionalism in handling sensitive matters.
  • Ability to travel as needed for board meetings and team meetings at other ATI company locations.
