Position Overview:
The M&A Tax Partner leads and grows a Transaction Advisory Services practice by delivering sophisticated transaction tax services, expanding client relationships, and driving strategic and financial performance. This highly visible leadership role blends technical excellence, market-facing business development, talent development, and operational oversight. You will guide clients through complex diligence and structuring matters, collaborate across service lines, and serve as the primary ambassador of the practice to private equity, investment banks, and corporate buyers.
Key Responsibilities:
Client Service & Technical Execution:
- Lead buy-side and sell-side tax due diligence, structuring, modeling, and overall transaction strategy.
- Design tax-efficient structures for mergers, acquisitions, reorganizations, and carve-outs.
- Identify historical tax exposures and draft tax-related contract language for risk mitigation.
- Oversee post-close integration, including tax attribute preservation and E&P studies.
Practice Growth & Business Development:
- Build and maintain relationships with private equity groups, investment banks, legal advisors, and C-suite executives.
- Drive new business generation and collaborate cross-functionally with audit and valuation partners.
- Serve as a thought leader through speaking engagements, articles, and webinars.
Team Leadership & Operations:
- Recruit, mentor, and develop managers and directors.
- Manage practice financials, including billing, margins, realization, and staffing.
- Maintain exceptional quality control and firmwide compliance standards.
Qualifications:
Education & Licensure:
- Bachelor's degree in Accounting, Finance, or Economics required.
- MST or LLM in Taxation strongly preferred.
- Active CPA or JD required.
Experience:
- 15+ years of progressive tax experience in public accounting or a boutique M&A advisory firm.
- 10+ years dedicated to M&A tax / Transaction Advisory Services.
- Demonstrated ability to grow a book of business and lead high-performing teams.
Technical Skills:
- Deep expertise in Subchapter C, Subchapter S, and Partnership taxation.
- Familiarity with consolidated returns and international tax concepts impacting transactions.
- Strong ability to analyze SPAs, MIPAs, and other transaction documents.
