Job description

As we prepare for our next phase of growth, including a potential transition from a private to a public company, we are seeking an experienced Stock Plan Administrator to manage our global equity programs. This is a critical role responsible for ensuring the accuracy, compliance, and scalability of our stock administration function during a pivotal time for the company. You will be a key member of the Legal and Finance teams, supporting our employees and stakeholders through this exciting evolution.

WHAT YOU WILL DO
  • Manage the day-to-day administration of the company's global equity plan (stock options, RSUs, etc.) currently on the Carta platform.
  • Process all equity-related transactions, including new grants, exercises, cancellations, and vesting events, ensuring accuracy and timeliness.
  • Lead the preparation and execution of all equity administration aspects related to the company's transition to a public entity.
  • Develop and implement public company processes, including trading window administration, pre-clearance procedures, and support for 10b5-1 trading plans.
  • Serve as the primary point of contact for employees, executives, and other stakeholders for all questions related to equity awards and company policies.
  • Collaborate with Legal, HR, and Finance teams to ensure seamless data flow for payroll, tax withholding, accounting (ASC 718), and financial reporting.
  • Prepare and reconcile equity data for internal and external reporting, including support for public filings (e.g., S-1, 10-K, Proxy Statements) and Section 16 reporting.
  • Partner with our transfer agent, outside counsel, and other vendors to build and maintain a robust public company stock administration infrastructure.
  • Develop and deliver educational materials and communications to help employees understand the value of their equity.
  • Ensure compliance with all applicable securities laws and regulations, both domestically and internationally.
WHAT YOU WILL NEED
  • A minimum of 5-8 years of direct experience in stock plan administration.
  • Crucial: Experience managing equity plans through a company's transition from private to public (IPO, SPAC, or direct listing).
  • Deep expertise with equity administration platforms, particularly Carta.
  • Strong knowledge of public company equity administration, including SEC regulations, Section 16 filings, Rule 144, and 10b5-1 plans.
  • Familiarity with the accounting (ASC 718) and tax implications of equity compensation plans.
  • Proven ability to work cross-functionally with Legal, HR, and Finance in a fast-paced, high-growth environment.
  • Exceptional attention to detail, organizational skills, and ability to manage sensitive data with the highest degree of integrity and confidentiality.
  • Excellent communication and interpersonal skills, with a demonstrated ability to explain complex concepts to employees at all levels.
  • Advanced proficiency in Microsoft Excel or Google Sheets for reporting and analysis.
  • Certified Equity Professional (CEP) designation is strongly preferred.
