About the Role:Are you ready to take on sophisticated work with a prominent business in Metro Detroit? We have an exciting opportunity for a Corporate Attorney or Senior Paralegal who is seeking ultimate flexibility to join a dynamic team on a contract basis, working 10-30 hours a week. This role offers the chance to collaborate closely with a well-established partner who has built a stellar reputation in the Private Equity space and beyond. This role is work for a law firm that is 80% in-house counsel and 20% his clients.
Position Summary:Our client is seeking a corporate attorney/ paralegal with 4+ years of substantial corporate transactional experience, including M&A, secured lending, or private equity transactions. The ideal candidate will be skilled in conducting due diligence and drafting and reviewing disclosure schedules and sophisticated corporate documentation. This is a unique chance to work remotely and become a key player in a thriving business environment working on some of the more exciting projects and matters in Metro Detroit.
Key Responsibilities:

  • Handle corporate transactional matters, including mergers and acquisitions, secured lending, and private equity transactions.
  • Conduct thorough due diligence and draft and review detailed corporate documentation and disclosure schedules.
  • Collaborate with a renowned partner to deliver high-quality legal services.
  • The candidate will assist in corporate transactions, regulatory filings, document preparation, and various legal matters.
  • Responsibilities include assisting in preparing, organizing, and maintaining corporate governance documents, such as board meeting minutes, resolutions, and certifications; assisting in due diligence and preparing disclosure schedules for corporate acquisitions and secured lending transactions; maintaining and managing legal documents, filings, and contracts; and providing periodic administrative support to the team, including scheduling meetings, handling correspondence, and managing deadlines.
Qualifications:
  • 4+ years of corporate transactional experience, preferably in a regional law firm.
  • Noteworthy academic credentials, with a J.D. degree from an accredited law school.
  • Licensed and in good standing with the State Bar of Michigan.
  • Strong written, interpersonal, and communication skills.
  • Ability to manage multiple tasks and work both independently and as part of a team.
