Job description

How You’ll Contribute:

As the Legal Counsel at Diversified, you will report directly to the General Counsel and serve as a strategic legal advisor to our sales, operations, procurement, and leadership teams. In this remote role, approximately 75% of your responsibilities will focus on commercial transactions, including drafting, reviewing, negotiating, and managing a broad range of commercial agreements. Your advice will be crucial in supporting daily business operations, helping the company balance commercial objectives with legal compliance in a fast-paced environment.

Location: Virtual U.S. position; preferred work location/time zone is Eastern (EST/ET) or Central (CST/CT).

What You’ll Do:

  • Draft, review, negotiate, and manage a variety of commercial agreements, including customer contracts, vendor agreements, nondisclosure agreements, consulting agreements, and other business contracts.
  • Advise business leaders on commercial, operational, compliance, and corporate matters.
  • Identify legal risks and provide solutions that enable business objectives.
  • Collaborate with Sales, Procurement, Finance, Human Resources, Information Security, and other cross-functional teams to facilitate business transactions.
  • Assist in managing litigation, claims, disputes, and outside legal counsel.
  • Support corporate governance activities, including legal entity management, corporate records, and board documentation.
  • Assist with mergers, acquisitions, integrations, and other strategic business initiatives as needed.
  • Monitor changes in applicable laws and regulations and advise business leaders on potential impacts.
  • Develop, review, and update corporate policies, contract templates, and legal procedures.
  • Support compliance initiatives, including ethics, anti-corruption, privacy, and regulatory compliance programs.
  • Participate in internal investigations and provide legal guidance regarding risk mitigation.
  • Deliver legal training and education to business leaders and associates on key legal and compliance topics.
  • Perform other legal duties as assigned.

Decision Making Authority

  • Determines appropriate legal positions and contract language within established company guidelines.
  • Advises business leaders on legal risk, contractual obligations, and compliance requirements.
  • Recommends legal strategies to mitigate business and regulatory risk.
  • Escalates significant legal, regulatory, litigation, or compliance matters to the General Counsel as appropriate.
  • Selects and manages outside counsel within approved scope and budget.

What You’ll Bring:

Education/ Certifications:

  • Juris Doctor (J.D.) from an accredited law school required.
  • Active license to practice law and member in good standing with at least one U.S. state bar.

Required Skills/Qualifications:

  • 5+ years of legal experience in a law firm or corporate environment handling corporate law matters, with a focus on commercial transactions.
  • Strong understanding of intellectual property, data protection and privacy laws.
  • Excellent negotiation, communication, and drafting skills.
  • A high level of self-motivation with the ability to work independently with a commitment to client services and the ability to work collaboratively in a fast-paced and dynamic environment.
  • Superior attention to detail and accuracy.
  • Experience with common business software tools, such as Microsoft Office (Word, Outlook, PowerPoint, Excel).
  • Hands-on experience drafting, negotiating, and managing all aspects of commercial transactions. International and/or governmental contract experience helpful.
  • Fluency in English (written and spoken) required.
