Job Description
We are seeking a detail-oriented and highly organized Stock Plan Administrator to manage and support the administration of our equity compensation and deferred compensation programs. The ideal candidate will assist with day-to-day stock plan operations, including maintaining equity records, processing transactions, and providing support to employees, executives, and stakeholders. This role will report to Executive Director, Executive Compensation and work closely with Principal, Stock Plan Administrator. This position offers a remote work arrangement, with travel once annually for team meetings.
Key Responsibilities:
Equity Program Administration:
  • Assist with the administration of the company's equity programs, including stock options, restricted stock units (RSUs), performance restricted stock units (PSUs), and Employee Stock Purchase Plans (ESPP).
  • Maintain accurate and up-to-date equity records in equity software platforms.

Deferred Comp Administration:
  • Manage and support the day-to-day operations of the company's Deferred Compensation Plans ensuring alignment with plan provisions, tax laws, and regulatory requirements (e.g., Section 409A compliance requirements).
  • Track participant contributions, elections, and employment statuses in collaboration with HR, Payroll, and external plan administrators.
  • Process monthly and annual distributions and manage employment status verification.

Transaction Processing:
  • Support the processing of equity transactions, such as grants, exercises, releases, cancellations, and ESPP purchases.
  • Ensure compliance with company procedures, applicable tax regulations, and legal requirements.

Data Management and Reporting:
  • Prepare and reconcile reports related to equity holdings, transactions, and employee onboarding/offboarding data.
  • Partner with finance and legal teams to provide accurate data for financial disclosures, tax filings, and regulatory reporting (e.g., SEC filings, Proxy Statement, 10-K reporting).

Employee Support:
  • Respond to colleague inquiries about equity grants, agreements, vesting schedules, and tax implications.

Compliance and Documentation:
  • Ensure compliance with SEC regulations, Section 409A or other relevant legal guidance.
  • Maintain detailed records of equity activity and audit-ready documentation for both internal and external use.
  • Conduct annual audits and collaborate with Internal Controls to complete reporting requirements.

Collaboration with Cross-Functional Teams:
  • Work closely with HR, payroll, tax, legal, and finance teams to ensure seamless processing of equity-related transactions and accurate record-keeping.
  • Assist with the preparation and distribution of equity communication to employees and executives.

Qualifications
Required Skills and Experience:
  • Minimum of 1 year of experience in stock plan administration
  • Familiarity with equity administration software
  • Basic understanding of equity compensation programs, tax implications, and compliance requirements.
  • Proficiency with Microsoft Office (especially Excel, including pivot tables and VLOOKUP).

Preferred Skills:
  • Experience with public company compliance requirements
  • Equity administration certification (e.g., Certified Equity Professional [CEP] Level 1) is a strong advantage but not required.
  • Experience with job evaluation and annual compensation cycle are advantages but not required.

Soft Skills:
  • Strong organizational skills with exceptional attention to detail.
  • Excellent interpersonal and communication skills.
  • Ability to manage multiple tasks, prioritize deadlines, and adapt to a fast-paced environment.

Education Requirements:
  • Bachelor's degree in Business, Finance, Accounting, or a related discipline.
