We are looking for an experienced Corporate Counsel to support a growing AI company based in the Silicon Valley. This Corporate Counsel will focus on a broad range of in-house legal matters, including governance, corporate formation documents, and day-to-day corporate advice. The role is remote offering a flexible work schedule to your time zone, so those from around the US are encouraged to apply. The ideal candidate will hold an active Bar license in any US jurisdiction and have at least 5-10+ years of corporate experience in a law firm or in-house setting.
Responsibilities:
- Advise on corporate law matters, including interpretation of formation documents and other organizational records.
- Support corporate governance activities, including board and committee preparation, drafting resolutions, and maintaining governance documentation.
- Provide day-to-day guidance on corporate governance policies, procedures, and compliance matters.
- Manage equity-related legal matters, including support for equity plan administration and related documentation.
- Oversee worldwide subsidiary management, including entity maintenance and coordination of related corporate services matters.
- Partner with the Finance team to support legal aspects of corporate and transactional activities.
- Assist with general corporate legal matters across the organization.
- Draft, review, and maintain corporate records, resolutions, consents, and other governance materials.
- Help ensure compliance with applicable corporate laws, regulations, and internal governance requirements.
- Coordinate with internal stakeholders and external service providers on corporate maintenance and legal entity matters.
Qualfications:
• Strong background in corporate law, including corporate governance, entity management, and related legal documentation.
• Prior in-house legal experience, or law firm experience with substantial in-house style corporate support.
• Highly organized and the ability to keep multiple workstreams on track.
• Active bar membership in any U.S. jurisdiction is acceptable.
• Experience with employment law is a plus.
