Employee Benefits & Executive Compensation Associate Attorney

Direct Counsel is seeking an Employee Benefits & Executive Compensation Associate Attorney to join a prestigious Am Law firm in New York, New York; Houston, Texas; Silicon Valley, California; or Washington, D.C.

This is an exceptional opportunity for an attorney with significant experience in executive compensation and employee benefits to join a nationally recognized Executive Compensation & Employee Benefits practice. The team advises clients on sophisticated executive compensation, equity incentive, and employee benefits matters, particularly in connection with mergers and acquisitions and other complex corporate transactions.

Responsibilities
  • Advise clients on executive compensation and employee benefits matters in connection with mergers and acquisitions.

  • Design, implement, and advise on a broad range of equity compensation and incentive plans.

  • Counsel clients on executive compensation disclosure requirements under applicable securities laws.

  • Draft, review, and negotiate executive compensation, equity incentive, and employee benefits documentation.

  • Support complex corporate transactions by identifying and addressing compensation and benefits issues.

  • Manage multiple transactions and client matters with substantial independence.

  • Collaborate closely with corporate attorneys and clients on sophisticated transactional matters.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in a U.S. state bar.

  • Significant experience in executive compensation and employee benefits law.

  • Extensive experience advising on executive compensation and employee benefits issues in mergers and acquisitions.

  • Experience designing and advising on equity compensation and incentive plans.

  • Strong knowledge of securities law disclosure requirements relating to executive compensation.

  • Ability to independently manage sophisticated transactions with minimal supervision.

  • Excellent analytical, drafting, negotiation, and communication skills.

Compensation & Benefits
  • Salary: $365,000-$390,000, commensurate with experience and qualifications.
