Direct Counsel is representing a leading AmLaw 100 firm seeking a Healthcare M&A Associate with 2+ years of experience to join its Corporate Practice in Fort Lauderdale.
Key Responsibilities- Represent healthcare practices and private equity firms in acquisitions and sales
- Structure and advise on healthcare M&A transactions
- Draft and negotiate Asset Purchase Agreements, Stock Purchase Agreements, Management Services Agreements, and ancillary documents
- Conduct extensive due diligence and prepare contract review charts
- Advise on HIPAA, corporate practice of medicine, patient privacy, and healthcare regulatory compliance
- Lead transaction closings and draft corporate governance documents
- Provide general corporate and healthcare law guidance
- 2+ years of healthcare M&A, private equity, or transactional experience
