Direct Counsel is seeking a Private Companies Associate Attorney to join a nationally recognized, innovation-driven firm advising some of the most prominent venture-backed companies and the investors who fund them.

This position offers the opportunity to work closely with emerging and high-growth companies at every stage of their lifecycle—from formation through venture financings and liquidity events. You’ll join a collaborative team of attorneys known for guiding disruptive businesses and investors through complex corporate matters with creativity and precision.

About the Role:
The firm is seeking a mid-level associate with substantial experience counseling early- and growth-stage companies. You’ll advise on general corporate governance, equity financings, and M&A transactions while building relationships with founders, investors, and boards. The role also offers the chance to grow your practice, speak at industry events, and contribute to the continued expansion of the firm’s national private companies platform.

What You’ll Bring:

  • 4–6 years of experience advising venture-backed and growth-stage companies

  • Experience with venture financings, corporate governance, and liquidity events

  • JD from a top law school with strong academic credentials
