Job description

Direct Counsel is seeking a Corporate Associate to join a premier Energy & Infrastructure M&A practice in New York. This is an exceptional opportunity for an attorney with private equity M&A experience who is looking to work on sophisticated transactions across the energy, power, renewables, and infrastructure sectors.

The ideal candidate will have experience representing private equity sponsors in complex acquisitions and strategic transactions and a strong interest in the intersection of M&A, project finance, and infrastructure investments.

Responsibilities
  • Advise clients on complex energy and infrastructure transactions
  • Represent:
    • Private equity sponsors
    • Infrastructure funds
    • Project developers
    • Utilities
    • Infrastructure owners and operators
  • Handle:
    • Acquisitions and divestitures
    • Joint venture transactions
    • Strategic investments
    • Infrastructure M&A transactions
    • Project-related transactions
  • Draft and negotiate acquisition agreements, joint venture agreements, and related transaction documents
  • Lead transaction execution from bid process through closing
  • Coordinate due diligence, transaction management, and closing activities
  • Collaborate with project finance, tax, regulatory, and finance attorneys
  • Advise clients on opportunities across:
    • Energy

Qualifications
  • J.D. from an accredited law school
  • 4–7 years of private equity M&A experience
  • Experience representing energy and infrastructure private equity sponsors
  • Significant experience handling M&A transactions and joint ventures
  • Strong drafting, negotiation, and deal management skills
  • Understanding of infrastructure and energy-sector transactions
  • Excellent analytical, organizational, and communication abilities
  • Ability to manage sophisticated transactions with substantial client contact
  • Strong business judgment and client-service orientation
