Job Title
Legal Counsel, North America Sales and Service (Cambridge, MA)
Job Description
In this role, you will be a key member of the Philips Legal Function, providing strategic legal support to Philips' North America Sales and Service organization. Your primary responsibility will be to advise on a broad range of legal issues related to the sale and servicing of Philips' medical devices and digital health solutions in the U.S. This includes navigating complex sales and technology transactions, as well as ensuring compliance with applicable laws and regulations.
This is a high-impact, visible position where you will serve as a thought leader within the Legal Function, offering insights on evolving legal and market trends that influence Philips' engagement with its U.S. customer base. You will regularly collaborate with stakeholders across all levels of the organization, including executive leadership, to deliver practical, business-oriented legal guidance.
Your role:
  • Lead and manage complex commercial transactions across Philips' U.S. health-tech portfolio, including medical devices, digital health, and SaaS solutions. Draft, negotiate, and advise on contracts with customers and partners, with deep experience in XaaS, cloud-based offerings, and Software-as-a-Medical Device business models. Collaborate with cross-functional teams-sales, service, finance, and accounting-to structure deals that align with Philips' strategic and financial objectives, including equipment financing and lease arrangements.
  • Deliver strategic legal guidance on regulatory and compliance matters impacting healthcare technology transactions, including the Anti-Kickback Statute and Safe Harbors, HIPAA, UCC, FDA regulations, antitrust, and state/federal privacy laws. Partner with subject matter experts to support innovative commercial programs and new go-to-market models, while identifying and mitigating risks such as revenue recognition challenges and off-market terms. Provide specialized counsel on privacy and data protection frameworks, including Business Associate Agreements and data-use agreements.
  • Champion legal innovation and operational excellence by staying ahead of emerging legal and market trends-such as AI regulation, cybersecurity, and evolving customer expectations around data use and AI implementation. Translate complex legal concepts into clear, actionable guidance for stakeholders at all levels, including executive leadership. Manage litigation and dispute resolution related to technology transactions, oversee outside counsel, and lead initiatives to streamline legal processes, enhance productivity, and foster a culture of integrity and compliance.

You're the right fit if:
  • You've acquired 6+ years of experience in a law firm or in-house counsel advising on the sale and promotion of healthcare technology solutions in the U.S., including drafting and negotiation of sales, service, licensing, and distribution agreements for same.
  • Your skills include advising sophisticated commercial operations and contracts teams, with expertise in XaaS, cloud, and Software-as-a-Medical Device businesses. You have strong experience with GPO transactions, healthcare privacy and security compliance, Anti-Kickback Statute guidance, and AI-related legal developments in digital health. You also manage tech-related litigation and are conversant in equipment financing and lease structures.
  • You're a flexible and results-driven legal professional with strong communication, organizational, and project management skills. You have proven experience advising on the sale, service, and promotion of health tech solutions in the U.S., including compliance with the Anti-Kickback Statute, False Claims Act, HIPAA, and FDA regulations. You bring meaningful experience applying Artificial Intelligence to enhance legal support efficiency and are confident delivering presentations and training to internal audiences of all sizes.
  • You have a Bachelor's degree with a Juris Doctor from an accredited law school (required).
  • You must be able to successfully perform the following minimum Physical, Cognitive and Environmental job requirements with or without accommodation for this position.

We believe that we are better together than apart. For our office-based teams, this means working in-person at least 3 days per week. Onsite roles require full-time presence in the company's facilities. Field roles are most effectively done outside of the company's main facilities, generally at the customers' or suppliers' locations.

Philips Transparency Details
The pay range for this position in Cambridge, MA is $168,000 to $268,000.
The actual base pay offered may vary within the posted ranges depending on multiple factors including job-related knowledge/skills, experience, business needs, geographical location, and internal equity.
In addition, other compensation, such as an annual incentive bonus, sales commission or long-term incentives, may be offered. Employees are eligible to participate in our comprehensive Philips Total Rewards benefits program, which includes a generous PTO, 401k (up to 7% match), HSA (with company contribution), stock purchase plan, education reimbursement and much more. At Philips, it is not typical for an individual to be hired at or near the top end of the range for their role and compensation decisions are dependent upon the facts and circumstances of each case.

Company relocation benefits will not be provided for this position. For this position, you must reside in or within commuting distance to Cambridge, MA.
