The company serves as a trusted partner across engineering, financing, construction, and optimization, delivering tailored power solutions for large energy users, including data centers. With a proven international track record and over 15 years as a large-scale developer, Pacifico brings speed and knowledgeable oversight to projects from start to finish.
We are hiring an Associate General Counsel to support Pacifico's growing portfolio of power generation and data center infrastructure projects. This role partners closely with the development, finance, operations, HR, and executive leadership teams to advance projects from concept through construction and operations, and to support the commercial and corporate transactions that drive the business forward.
The position serves as a hands-on legal partner across commercial contracting, project development, and corporate matters, while coordinating with outside counsel on specialized workstreams including financing, M&A, real estate, regulatory, and litigation. The role is well suited to a business-minded attorney who thrives in a fast-paced, entrepreneurial environment and is comfortable balancing legal rigor with practical, solutions-oriented advice.
What you get to do:
Commercial Contracting
• Review, draft, and negotiate a wide variety of commercial agreements, including NDAs, vendor agreements, development agreements, consulting agreements, and services agreements.
• Support the broader commercial contracting function and help establish scalable templates, playbooks, and processes as the business grows.
• Identify legal and business risks in proposed transactions and provide practical, business-oriented recommendations to internal stakeholders.
Project Development & Transactions
• Assist with project development and transaction-related legal matters across Pacifico's data center and power generation portfolio.
• Support legal review of strategic partnerships, joint development arrangements, and commercial transactions.
• Provide input on project structuring, key commercial terms, and risk allocation in collaboration with the development and finance teams.
Corporate Governance & Entity Management
• Support corporate governance and entity management activities, including board and member-related matters, organizational documents, and routine corporate filings.
• Help maintain accurate corporate records and assist with internal approval processes.
Outside Counsel Management
• Coordinate with outside counsel on financing, M&A, real estate, regulatory, litigation, and corporate matters.
• Manage scope, budget, and timing of outside counsel engagements to ensure efficient and high-quality external legal support.
• Translate complex external legal advice into clear, actionable guidance for internal business teams.
Cross-Functional Partnership & Risk Advisory
• Work cross-functionally with development, finance, operations, HR, and executive leadership teams to anticipate legal needs and resolve issues quickly.
• Help identify legal and business risks across the organization while providing practical, business-oriented solutions.
• Support the General Counsel and broader leadership team on ad hoc legal and strategic matters as they arise.
• JD from an accredited law school.
• Active bar membership in at least one U.S. jurisdiction.
• Approximately 4-5 years of relevant legal experience.
• Prior law firm experience.
• Experience with project and/or equipment finance transactions.
• Experience with corporate and M&A matters.
• Strong drafting, negotiation, and analytical skills.
• Business-minded, solutions-oriented approach.
• Ability to operate effectively in a fast-paced, entrepreneurial environment.
Preferred Qualifications
• Experience supporting project development for energy or infrastructure projects.
• Exposure to data center, power generation, or other energy transactions.
• Experience with construction or EPC contracting.
• A combination of law firm and in-house experience.
