Job Title: Corporate Legal Entity Management ParalegalJob Description
This part-time paralegal role supports a global Legal team by managing corporate legal entity governance and compliance across the Americas region and internationally. The position focuses on legal entity formations and dissolutions, corporate records and good standing, board and shareholder documentation, and coordination of governance processes, while partnering closely with cross-functional stakeholders to minimize legal and regulatory risk and support business objectives.
Responsibilities
  • Manage corporate legal entity formations and dissolutions in the Americas region and globally, ensuring compliance with applicable laws and regulations.
  • Oversee annual state and federal filing requirements to maintain corporate good standing for all assigned legal entities.
  • Draft and review board resolutions, shareholder resolutions, officer certificates, powers of attorney, and related compliance documentation with a high degree of accuracy.
  • Coordinate board and committee meetings, including preparing agendas, assembling materials, drafting resolutions, and maintaining accurate minutes.
  • Maintain comprehensive corporate records and legal entity documentation, ensuring data integrity and timely updates across relevant systems.
  • Provide corporate information and legal support to stakeholders across the organization, including Finance, Controllership, Treasury, Legal, Risk, and Tax teams.
  • Partner cross-functionally with Finance, Controllership, Treasury, Legal, Risk, and Tax to support governance, compliance, and legal entity management initiatives.
  • Support corporate governance initiatives, including process improvements, technology enhancements, and implementation of best practices in entity management.
  • Assist in the use and optimization of legal technology platforms, including AI-driven solutions, to streamline legal entity management and governance processes.
  • Contribute to project management activities related to legal entity management, ensuring timely execution, clear communication, and alignment with business priorities.
  • Handle confidential information with discretion and tact, ensuring appropriate safeguards and compliance with internal policies.
  • Support compliance with applicable reporting and governance requirements, including those related to NYSE and SEC processes, as applicable to legal entity management.
  • Collaborate effectively within a matrix organization, managing entities across diverse markets and functions, and adapting to changing priorities and requirements.
  • Work independently to prioritize tasks, manage multiple deadlines, and deliver high-quality work under pressure and tight timelines.
Essential Skills
  • Bachelor's degree or equivalent qualification.
  • 7+ years of corporate paralegal experience, with a focus on corporate legal entity management and governance.
  • Demonstrated experience managing legal entity formations, dissolutions, and ongoing corporate compliance requirements.
  • Proficiency in drafting and reviewing board and shareholder resolutions, officer certificates, powers of attorney, and compliance documentation.
  • Strong experience in corporate records management and maintaining legal entity documentation.
  • Proven project management skills, including planning, prioritizing, and executing multiple tasks and initiatives.
  • Strong organizational skills with meticulous attention to detail and accuracy.
  • Excellent written and verbal communication skills, including the ability to communicate effectively with cross-functional stakeholders.
  • Ability to work independently and as part of a team in a fast-paced, dynamic environment.
  • Ability to manage ambiguity, adapt to changing priorities, and deliver results under pressure and tight deadlines.
  • Experience managing entities across diverse markets and functions within a matrix organization.
  • Ability to exercise discretion, tact, and sound judgment when handling confidential information.
  • Proficiency with MS Office applications, including Word, Excel, PowerPoint, and Outlook.
  • Experience at a top-tier international law firm or large public company (preferred but not mandatory).
Additional Skills & Qualifications
  • Experience using SharePoint for document management and collaboration.
  • Familiarity with legal technology platforms and their application to corporate governance and entity management.
  • Exposure to AI-driven solutions for process improvement in legal or corporate governance functions.
  • Experience with GEMS or similar entity database systems for tracking and managing legal entities.
  • Experience with iManage or comparable document management systems.
  • Understanding of NYSE and SEC reporting requirements and compliance processes related to corporate governance (preferred).
  • Notary Public license, with particular consideration for candidates able to work onsite in designated offices when needed.
  • Demonstrated ability to contribute to governance, compliance, technology initiatives, and process improvements.
  • Strong stakeholder management skills, including building relationships with Finance, Treasury, Tax, Legal, Risk, and Controllership teams.
Work Environment
This is a remote, part-time position requiring approximately 10-15 hours of work per week. The role supports legal entity management activities for the Americas region and contributes to global operations, requiring collaboration across multiple time zones and functions. Work is primarily performed using digital tools and platforms, including MS Office, SharePoint, legal technology systems, and entity management databases. Candidates with a Notary Public license who are able to work from designated offices in San Francisco or Foster City on an as-needed basis will receive particular consideration. The environment emphasizes professionalism, confidentiality, and cross-functional collaboration, with flexibility to manage workload and deadlines in a remote setting.

Pay and Benefits
The pay range for this position is $39.00 - $44.00/hr.
