This role requires a fully in-office schedule at one of the following locations: Addison, TX; Waterloo, ON; or Richmond Hill, ON.
YOUR IMPACT
As a Sr. Cloud Deal Contracts Manager, you will play a critical role in supporting OpenText's growing cloud business by drafting and negotiating cloud service agreements, product schedules, and orders in partnership with Legal, Finance, Revenue Recognition, Deal Management, and Sales. You will help drive business growth while reducing risk, ensuring contractual solutions align with corporate policies and audit requirements. As a key member of the Commercial Cloud Contracts team, you will partner with cross-functional deal teams and clients to navigate complex cloud transactions, identify and mitigate contractual risk, and develop solutions that meet the needs of both OpenText and our clients. You will also have the opportunity to influence processes, support new and existing cloud services, and expand your responsibilities as you grow within OpenText.
WHAT THE ROLE OFFERS
  • Review and apply OpenText Cloud business models, policies, and contractual requirements to support compliant and effective deal execution.
  • Draft, review, and recommend improvements to cloud service agreements, product schedules, orders, and associated terms and conditions.
  • Partner with Sales, Deal Management, Legal, Finance, Revenue Recognition, and other stakeholders to negotiate complex and specialized cloud transactions.
  • Analyze complex client contracts to identify areas of risk and determine where OpenText policies and contractual requirements need to be applied.
  • Lead client and internal negotiations, developing contractual language and solutions that balance client requirements with OpenText's business objectives and risk considerations.
  • Build strong relationships and communicate clearly with clients, senior executives, lawyers, procurement teams, and cross-functional stakeholders to drive alignment and successful outcomes.
  • Contribute to the development and enhancement of contract management processes and provide guidance and mentorship to team members as needed.

WHAT YOU NEED TO SUCCEED
  • 5+ years of experience in sales-side contract generation and negotiation, ideally within private cloud managed services and/or SaaS cloud services.
  • BA/BS degree or equivalent experience in Business Administration, Economics, Operations, Pre-Law, or a related field.
  • Experience working with legal agreements and negotiating contractual terms; prior experience in the technology industry is preferred.
  • Excellent written, verbal, interpersonal, and analytical communication skills, with the ability to communicate contractual requirements and solutions clearly and concisely.
  • Strong negotiation and stakeholder management skills, with the ability to present and negotiate with senior executives, lawyers, client procurement teams, and business stakeholders.
  • Ability to manage relationships across global, cross-functional deal teams, including executive leaders, while effectively navigating competing priorities and time-critical deadlines.
  • Highly organized, detail-oriented, self-motivated, and adaptable, with strong time management skills and the ability to quickly pivot as business needs evolve.
