JOB SUMMARY:
The Contracts Specialist will work directly with Trace3's Legal Department to assist and manage a variety of tasks, projects, and processes, including drafting and supporting final negotiating of contracts. This position will function as a contracts specialist and paralegal and will work closely with the Legal Department on a daily basis and provide assistance and support as needed.
SUMMARY OF ESSENTIAL JOB FUNCTIONS:
  • Draft, review, revise and support final negotiation of partner and client agreements, including but not limited to, non-disclosure agreements, master services agreements, subcontractor agreements and reseller agreements.
  • Maintain contracts and corporate records for Trace3 and related entities.
  • Manage approval and signature process for contracts and corporate documents.
  • Manage Trace3's and related entities contract management system and operational guides.
  • Manage insurance requirements from clients and partners, including coordinating with insurance brokers to generate certificates of insurance.
  • Oversee state and local filings for Trace3 and related entities.
  • Maintain registrations for Trace3 and related entities in client and vendor portals.
  • Provide general administrative support to the Legal Department.
  • May perform special projects and other duties as assigned by Supervisor.

REQUIRED SKILLS AND EXPERIENCE:
  • Bachelor's degree from an accredited university required. Paralegal certificate is a plus.
  • 2+ years of experience as a Contracts Specialist with background performing paralegal functions, or 2+ years of experience as Corporate Paralegal in-house with strong contracts management background.
  • Technology industry experience strongly preferred.
  • Public sector experience in local, State, and federal procurement strongly preferred.
  • Focused experience on corporate matters (as opposed to litigation experience).
  • Strong written and oral communication skills with a wide variety of individuals, education levels, and sophistication is required.
  • Strong organization skills with great attention to detail and the ability to work in a fast-paced and evolving work environment.
  • Strong ability to operate independently and manage multiple projects and priorities.
  • Strong proficiency in Microsoft Office (Word, PowerPoint, Outlook and Excel).
  • Ability to proactively work cross-functionally with internal teams, including Finance, Operations, Sales, Marketing, and People & Organizational Health.

Actual salary will be based on a variety of factors, including location, experience, skill set, performance, licensure and certification, and business needs. The range for this position in other geographic locations may differ. Certain positions may also be eligible for variable incentive compensation, such as bonuses or commissions, that is not included in the base salary.
