Job description


I. Job Summary
The Corporate & Transactions Senior Paralegal reports to the Assistant General Counsel - Mergers & Acquisitions and also provides direct support to the Corporate Subsidiary Manager. This role supports a broad range of mergers and acquisitions and general corporate matters, with approximately half of the time dedicated to M&A activity, including transaction support, due diligence, transaction document review (including but not limited to, nondisclosure agreements), document organization, coordination among internal and external parties, closing preparation, and file management. The remaining time is dedicated to corporate subsidiary management, including maintaining databases, drafting and maintaining organizational and governing documents, preparing and managing resolutions, preparing and filing mergers and dissolutions, and consulting on issues related to signature authority, approval authority, organizational structure, and corporate history. The ideal candidate is a self-starter, positive and collaborative team member, curious and eager to learn, and able to develop expertise to operate confidently and independently in corporate and transactional legal support.
II. Essential Duties and Responsibilities
  • Supports mergers and acquisitions activity, including transaction execution, due diligence, document review, document organization, coordination among internal and external parties, closing preparation, and post-closing file organization.
  • Reviews, edits, and drafts legal documents in support of corporate and transactional matters, including non-disclosure agreements and other related documents.
  • Maintains corporate subsidiary databases and records and assists with the drafting, review, maintenance, and organization of organizational and governing documents.
  • Prepares, manages, and organizes written consents, resolutions, secretary certificates, mergers, dissolutions and other corporate approvals and records.
  • Provides support and guidance on issues related to signature authority, approval authority, organizational structure, and corporate history, and helps maintain institutional knowledge across entities and transactions. Provides related support in litigation matters.
  • Develops knowledge of international subsidiary management requirements and oversees work of outside counsel in international jurisdictions.
  • Coordinates effectively with attorneys, business partners, outside counsel, and other stakeholders to support matter management, execution of deliverables, and timely completion of transactions and corporate projects.
  • Maintains organized electronic and physical files, manages document repositories, and supports process improvements for corporate and transactional legal work; Handles some administrative support, such as call scheduling, calendar coordination, invoice review and processing and meeting planning.
  • Demonstrates strong initiative, sound judgment, attention to detail, and a positive, collaborative approach, with prior experience supporting general corporate law and mergers and acquisitions matters.
  • Learns and develops subject matter expertise in corporate subsidiary management and transaction support while contributing as a self-starter and dependable member of the legal team.

III. Qualifications
A. Required Qualifications
  • Associate's Degree (accredited) with Paralegal emphasis, or in lieu of degree
  • High School Diploma (accredited) or GED (accredited) and two (2) years of relevant experience.
  • 10+ years of relevant work experience, including experience supporting general corporate law and mergers and acquisitions matters. (in addition to education requirement).
  • A.B.A. Approved Paralegal Certificate.
