Job description

ESCO Technologies (NYSE: ESE) seeks a Senior Legal Counsel to provide strategic legal support across our global businesses. This role offers broad exposure to commercial transactions, litigation, employment matters, compliance, corporate governance, and M&A activity. As a member of our collaborative in-house legal team, you'll work closely with business leaders to solve complex challenges and support the Company's continued growth.
Key Responsibilities
  • Manage litigation, customer disputes, claims, and third-party discovery matters, engaging with outside counsel as needed.
  • Draft, review, and negotiate complex domestic and international commercial agreements with customers, distributors, suppliers, and other third parties.
  • Support mergers and acquisitions activities, including due diligence, disclosure schedule preparation and review, risk assessment, and post-closing matters.
  • Investigate ethics and compliance concerns and recommend appropriate resolutions.
  • Provide practical legal guidance on employment-related matters and workplace issues.
  • Support regulatory, corporate governance, securities, and SEC compliance initiatives.
  • Advise on corporate matters, including entity governance, intercompany transactions, capital contributions, and dividend-related activities.
  • Help drive continuous improvement of legal operations, records management, and legal technology systems.

Minimum Qualifications
  • Juris Doctor (JD) degree and active license to practice law in the United States.
  • 7+ years of relevant legal experience.
  • Strong contract drafting, negotiation, and advisory experience.
  • Excellent analytical, problem-solving, and communication skills.
  • Ability to manage multiple priorities and work independently.
  • Authorized to work in the United States without sponsorship

Preferred Qualifications
  • Combination of in-house counsel and law firm experience.
  • Experience supporting public companies or complex private organizations.
  • Knowledge of government contracting (FAR/DFARS) and/or employment law.
  • Business or finance background.
  • Strong relationship-building and collaboration skills.
