Private Companies Associate Attorney (Life Sciences Focus)
Locations: New York, NY | Boston, MA | Palo Alto, CA

Direct Counsel is seeking a Private Companies Associate Attorney with a focus on Life Sciences to join the nationally recognized corporate practice of a premier Am Law firm. This is an outstanding opportunity to represent innovative early-stage and growth-stage life sciences companies, as well as the venture capital investors who support them, through every stage of the business lifecycle.

The ideal candidate will have 3–6 years of experience advising venture-backed companies on general corporate matters, venture capital financings, and strategic transactions. This role offers significant client interaction, sophisticated deal work, and the opportunity to help build a thriving national life sciences practice.

Responsibilities
  • Advise early-stage and growth-stage life sciences companies on a broad range of general corporate matters throughout their lifecycle.
  • Represent venture-backed companies and venture capital investors in venture capital financings and other strategic investment transactions.
  • Counsel clients on corporate governance, business operations, and day-to-day legal matters.
  • Assist clients with liquidity events, including mergers, acquisitions, and other exit transactions.
  • Draft, review, and negotiate financing documents, corporate governance documents, and transaction agreements.
  • Build strong client relationships while collaborating with attorneys across multiple practice areas to provide strategic legal solutions.
  • Participate in business development initiatives, industry presentations, and the continued growth of the firm's national private companies platform.
Qualifications
  • J.D. from an accredited law school with strong academic credentials.
  • 3–6 years of corporate law experience at a national or international law firm.
  • Significant experience representing venture-backed companies, particularly within the life sciences sector.
  • Experience advising clients on venture capital financings, corporate governance, and liquidity events.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Ability to manage multiple sophisticated transactions while delivering exceptional client service.
  • Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.
Compensation & Benefits
  • Salary Range: $260,000 – $390,000, based on geographic location, experience, and qualifications.
