BusPatrol is a leading provider of school bus safety solutions. We are seeking a talented and experienced Associate General Counsel (Commercial) to join our dynamic legal team, with a focus on strategic partnership with revenue leadership, ownership of the commercial process, and sector expertise in automated enforcement / govtech.
As Associate General Counsel (Commercial), you will serve as a primary legal partner to the Chief Revenue Officer and Chief Growth Officer on deal strategy, pricing structures, and risk allocation for key opportunities; act as a deal desk for complex or high-value transactions by coordinating input from sales, finance, operations, and compliance to drive timely, business-oriented outcomes; design, maintain, and continuously improve contract templates, clause libraries, and playbooks to drive consistency and efficiency across the commercial pipeline; proactively identify trends and recurring issues in negotiations and recommend process or product changes to reduce friction and improve outcomes across the portfolio; and support go-to-market initiatives involving automated enforcement and public safety technology, ensuring alignment with applicable laws, regulations, and procurement requirements.
The ideal candidate will have a strong background in state and local government contracting, a keen eye for detail, and a proven ability to build and implement efficient legal processes. You should be a self-starter with a bias for action, sound judgment, and a track record of delivering high-quality work with minimal supervision.
Responsibilities
  • Negotiate and draft agreements with state and local government customers, including counties, cities, towns, and school districts.
  • Negotiate and draft agreements with vendors including suppliers, manufacturers, and consultants.
  • Manage and mitigate legal risks by auditing, designing, and implementing company policies and procedures.
  • Provide practical legal advice and support to sales, finance, leadership, and HR teams, including employment and general commercial and compliance matters.
  • Advise and manage an extensive portfolio of new and ongoing legal matters, including, but not limited to, contractual obligations and resolution of contract-related disputes.
  • Work with state and local procurement laws and policies, including contract terms and conditions and freedom of information/public disclosure rules.
  • Audit contracts for renewal deadlines and other ongoing requirements.
  • Assist with RFPs.
  • Develop and maintain a strong working knowledge of BusPatrol's automated enforcement and public safety technology solutions to better support commercial negotiations.

Qualifications
  • Minimum of 8 years of commercial contracting experience with a focus on state and local government agencies, including meaningful experience in vendor or in-house commercial roles (beyond exclusively government-side positions), is required.
  • Experience in state and/or local government contracting laws and regulations is required.
  • Experience in RFP processes and associated legal requirements in responding to RFPs is preferred.
  • Experience in drafting, reviewing, and advising on a broad range of legal documents including commercial contracts, vendor agreements, and other legal documents.
  • Ability to work cross-functionally with business teams to understand goals and advise on a wide range of legal options.
  • Demonstrated track record of working independently and making common-sense judgment decisions.
  • Ability to anticipate downside risk and structure agreements accordingly.
  • Experience working with standard processes and templates is required; creation of document frameworks and processes is preferred but not required.
  • Experience using contract management software is strongly encouraged.
  • Excellent attention to detail as well as strong written and verbal communication skills.
  • Proficiency in MS Word and PowerPoint.

Preferred Qualifications
  • Prior in-house experience supporting a sales or revenue organization in a growth-stage or technology company.
  • Background in automated enforcement, ALPR, smart city, or public safety technology contracting with state and local governments.
  • Prior people management experience.
