Role Summary

The General Counsel ("GC") is the chief legal officer of Legion Technologies and a key member of the executive leadership team. This role is responsible for:

  • Leading Legion's global legal, intellectual property, and corporate functions
  • Serving as a strategic partner to the CEO, executive team, and Board of Directors
  • Building and scaling a high-performing legal organization that supports Legion's next phase of growth, globalization, and product innovation

The GC will own the company's overall legal strategy across commercial/SaaS, privacy and data protection, AI governance, labor and employment, corporate governance, IP, regulatory compliance, and risk management.(Legion)

Key Responsibilities1. Legal Strategy & Leadership
  • Develop and execute a comprehensive legal strategy that aligns with Legion's business objectives and growth plans in AI-powered workforce management.
  • Advise the CEO, executive team, and Board on key legal, regulatory, and governance matters, including risk, compliance, fundraising, and strategic transactions.
  • Build, lead, and mentor a high-performing in-house legal team; manage external counsel efficiently across specialties and jurisdictions.
    Establish scalable processes, templates, and playbooks to support rapid go-to-market and partnership execution.
2. Corporate Governance & Financing
  • Serve as corporate secretary for Legion Technologies and its subsidiaries; manage all Board and committee governance processes, including agendas, materials, minutes, and consents.
  • Oversee corporate structure, subsidiary management, and global entity compliance.
  • Support equity and debt financings, including negotiations with investors, diligence, and ongoing compliance with investor rights and governance frameworks.
  • Partner with Finance and People teams on equity plan administration, stock option programs, and related disclosures.
3. Commercial, Product & Partnership Counsel
  • Own legal support for Legion's commercial operations, including:
    • Enterprise SaaS subscriptions and professional services agreements
    • Channel, OEM, marketplace, and strategic partner agreements
    • Data processing, DPA, and information security terms
  • Work closely with Sales, Customer Success, and Partnerships to enable predictable deal cycles while appropriately managing risk.
  • Partner with Product, Engineering, and Security to ensure Legion's AI-enabled WFM platform, APIs, and integrations with partners (e.g., SAP SuccessFactors and other HR platforms) comply with applicable laws, industry standards, and customer requirements.
  • Provide practical, business-oriented product counseling on new features, AI use cases, mobile app capabilities, and international expansion.
4. Privacy, Data Protection & Terms of Use
  • Own Legion's global privacy and data protection program, including compliance with U.S. federal and state laws (e.g., CCPA/CPRA) and international frameworks where applicable.
  • Oversee Legion's Terms of Service, privacy policy, and related product policies, ensuring they remain up to date with evolving regulatory requirements and product capabilities.
  • Work with Security and IT to support customer security reviews, audits, and incident response readiness.
    Develop and maintain policies and training related to data governance, acceptable use, and ethical AI usage within the platform.
5. Labor, Employment & Workforce Compliance
  • Advise on employment matters across Legion's workforce, including hiring, terminations, performance management, compensation, and incentive programs.
  • Support the People team in implementing policies that are compliant with applicable labor laws and consistent with Legion's mission to improve hourly workers' experience.
  • Provide guidance on product features designed to support customers' compliance with labor and scheduling laws (e.g., predictable scheduling, good faith estimates, overtime rules), in partnership with Product and Customer Success.
6. Intellectual Property & Innovation
  • Develop and implement Legion's global IP strategy, including patents, trademarks, copyrights, trade secrets, and open-source usage.
  • Partner with Product and Engineering to identify and protect innovations related to AI models, algorithms, data pipelines, and workforce management solutions.
    Manage enforcement and defense of Legion's IP rights and respond to third-party claims.
7. Regulatory, Compliance & Risk Management
  • Identify and monitor evolving legal and regulatory developments affecting:
    • AI and machine learning
    • Data privacy and security
    • Employment and labor laws
    • Enterprise software and cloud services
  • Design and oversee a risk and compliance framework that includes policies, training, internal controls, and reporting.
  • Support internal investigations and compliance reviews; partner with HR and other functions on ethics and integrity initiatives.
  • Coordinate with insurers and brokers on appropriate coverage (e.g., E&O, cyber, D&O) and manage claims as needed.
8. Strategic Transactions & Corporate Development
  • Lead legal aspects of M&A, investments, and strategic partnerships, from diligence and transaction negotiation through integration.
    Provide structured guidance on competition, antitrust, and other regulatory considerations for strategic deals.
Qualifications

Required

  • J.D. degree from an accredited law school and membership in good standing with at least one U.S. state bar.
  • 15+ years of combined experience in top-tier law firm and in-house roles, with significant time as General Counsel, Chief Legal Officer, or senior deputy GC at a high-growth technology or SaaS company.
  • Deep experience advising on:
    • Enterprise SaaS and commercial contracting
    • Corporate governance and venture-backed/private equity-backed company issues
    • Data privacy and security
    • IP strategy and licensing
  • Demonstrated track record of building and leading legal teams that support rapid growth and international expansion.
  • Proven ability to operate as a business-minded advisor, balancing risk with strategic and commercial objectives.

Preferred Qualification

  • Experience in HR tech, workforce management, fintech, or other data-intensive SaaS businesses.
  • Prior leadership supporting AI/ML products and associated ethical, regulatory, and data governance issues.
  • Experience supporting global customers and operations across North America, EMEA, and APAC.

Prior work with large enterprise and strategic partners (e.g., SAP, other HCM vendors).

ADDITIONAL INFORMATION
  • This is a full-time, exempt position.
  • Some travel may be required to meet with customers, partners, investors, regulators, and internal teams.

COMPENSATION & BENEFITS

Salary Range: Base Salary Range: $250,000 - $300,000 + Bonus + Stock Equity

Our posted salary range is done so in good faith based on national data and may be refined for a candidate's region/town/cost of living. Salaries will be based on the applicant's location, level of experience, education, and specialized knowledge and skills. Additionally, we consider the external market rate, the amount we have budgeted internally, and internal equity within the company for the same position.
