Job description

SyndicationCounsel LLC is a boutique, fully-remote law firm that helps next-generation forward-thinkers legally raise and manage investor capital so that they can scale beyond their own checkbook and avoid costly mistakes.

We need a seasoned corporate and securities lawyer who can assume responsibility for current client relationships, structuring, documenting, and advising investment partnership formation and exempt securities offerings.


The ideal candidate has demonstrated mastery of multi-member, multi-class LLC mechanics (including Operating Agreements, amendments, written actions, joinders, unit ledgers, and transfers) and is fluent in Regulation D (Rule 506(b)/(c)), accredited investor standards, and related federal and state securities compliance. This role demands strong responsiveness and deadline ownership, meticulous quality control, early escalation when facts or scope change, and a practical, solutions-oriented mindset that improves Firm policy, procedures, and templates over time.

Compensation:

$120,000


Responsibilities:
  • Proficiency drafting multi-member, multi-class LLC Operating Agreements: voting vs. non-voting interests, manager authority vs. member voting rights, distributions waterfalls, and transfer restrictions.
  • Drafting Private Placement Memorandums, Subscription Agreements, and coordinating federal and state securities filings (Form D and blue sky).
  • Advising on corporate structures, coordinating corporate formation, and leading clients to corporate compliance (e.g., Manager and Member resolutions/consents, Operating Agreement amendments, and PPM supplements).

Qualifications:
  • Be a member in good standing of the state bar association and possess a license to practice law
  • Strong transactional knowledge and understanding of corporate law, securities law, and tax law is needed
  • Bachelor’s degree and a Juris Doctor degree from an accredited law school
  • Requires 3-5 years of experience as a staff attorney or associate attorney for a corporate law firm, an in-house counsel for a corporation, or as a corporate lawyer
  • Proficient with computers, especially MS Office and Google Suite
