Paralegal - Corporate & Securities
We are hiring a detail-obsessed Paralegal to support our corporate and securities practice, helping next-generation visionaries legally raise and manage investor capital to scale beyond their own checkbook and avoid costly mistakes.
You will draft and assemble core deal and entity documents for attorney review (Operating Agreements, amendments, written consents, Private Placement Memorandums, Subscription Agreements, etc.), maintain clean and audit-ready corporate record books, and drive execution logistics from version control through final signature packets. You will also coordinate LLC formation, TIN applications, and securities filings (SEC Form D and state Blue Sky notices).
Success in this role means completing assigned tasks on time, initiating tasks for clients and colleagues, producing error-free deliverables, flagging issues early, offering resolution pathways, and contributing to a fully-remote team of high performers that collaborate around disciplined workflows that give us the freedom to work from anywhere.

Responsibilities
Corporate/Securities: Draft legal instruments (e.g., Operating Agreements, amendments, and written consents), Private Placement Memorandums, and Subscription Agreements for attorney approval; maintain corporate record books.
Regulatory Filings: Prepare/file LLC formation documents, TIN applications, and SEC Form D filings and state Blue Sky notices.
Execution Logistics: Maintain version control, assemble final drafts for client execution, and coordinate e-signatures.
Quality Deadlines: Meet production benchmarks; perform meticulous QC; escalate early with proposed resolution pathways.
Asynchronous Teamwork: Use Firm templates/workflows; maintain disciplined written updates, and organize matter workspaces.
Qualifications
• 5+ years of corporate law firm experience.
• Experience in preparing operating agreements, private placement memorandums, and subscription agreements.
• Talented communicator and writer.
• Excellent organizational and time-management skills.
