Job description

Job Title: Commercial Counsel

The Role

Entegris is seeking a Commercial Counsel to join the Entegris Law Department. This role will serve as a primary legal partner to Entegris's Global Procurement organization and broader business, leading the structuring, drafting, and negotiation of complex procurement agreements, with additional support on sales agreements and other commercial matters as needed. The position will be based in Billerica, Massachusetts or another U.S. Entegris location. This individual will report directly to the Senior Commercial Counsel at Entegris's corporate headquarters in Billerica, MA.

What You'll Do
  • Serve as a primary legal advisor to Entegris's Global Procurement organization and business stakeholders on commercial matters.
  • Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements, with additional support on sales agreements and other commercial transactions as needed.
  • Collaborate directly with Global Procurement and business stakeholders to provide day-to-day legal advice and address issues that arise in active commercial relationships.
  • Drive continuous improvement of contract templates, positions, and negotiation strategies.
  • Contribute to contract management process improvements, including the creation and implementation of CLM system enhancements, contract negotiation playbooks and AI-driven solutions.
  • Support cross-functional strategic initiatives across procurement, legal, and business teams as needed.
What We Seek
  • J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
  • 4+ years of commercial contracting experience (procurement and/or sales agreements).
  • Experience in semiconductor, manufacturing, or high-tech industries preferred; experience negotiating IT or SaaS agreements is a plus.
  • Strong negotiation, drafting, and issue-spotting skills.
  • Proven ability to manage a competing priorities and drive complex negotiations to closure in a fast-paced environment.
  • Clear and effective communicator with the ability to understand business objectives and align legal strategy to advance those objectives while protecting the company.
  • Self-starter who can work independently with minimal oversight.
  • Experience with or strong interest in AI tools and legal technology.
  • Fluency in English required; additional languages (Chinese, Japanese, or Korean) are a plus.

  • Timely and efficient negotiation of procurement agreements and, as applicable, sales and other commercial agreements.
  • High-quality contract outcomes that minimize risk and maximize business value.
  • Strong partnership and trust with procurement, legal, and business stakeholders.
  • Contribution to improvement of contract processes, templates, and systems.
  • Effective resolution of commercial disputes and escalated contract issues.
  • Active role in advancing legal innovation, including AI adoption.
