Fund Formation Associate Attorney – Palo Alto, San Francisco, New York

Direct Counsel is seeking a Fund Formation Associate to join a highly respected Am Law firm in either Palo Alto or San Francisco. This is an outstanding opportunity for a mid-level associate to join a premier investment funds practice representing sophisticated sponsors, investors, and fund managers in complex private investment fund matters.

The ideal candidate will have 2–7 years of experience advising clients on private investment fund formation and related sponsor-side transactions. Candidates should have experience working on fund formation matters from inception through closing, as well as exposure to sponsor-level and secondary transactions.

Qualified candidates will possess:

  • 2–7 years of private investment fund formation experience at a national or international law firm
  • Experience representing sponsors and investors in private investment funds
  • Experience handling fund formation transactions and sponsor-level matters involving general partner and management company entities
  • Exposure to secondary transactions involving limited partner and/or portfolio company interests
  • Strong drafting, organizational, and analytical skills
  • Excellent academic credentials from a nationally recognized law school
