York's complete Space Segment Solution includes spacecraft production, payload integration, system integration & test, launch services, ground segment services, and mission operations, enabling customers to leverage York's existing technology solutions to get to orbit rapidly and responsively. We're looking to expand our team across the board. York is experiencing a period of significant growth and evolution, and we are seeking a senior attorney who will play a meaningful role in supporting the company's strategic, transactional, and compliance initiatives. The position provides an opportunity to contribute to high impact work across multiple areas of the business, partnering closely with senior leaders and cross functional teams. The role will support and report to the Chief Legal & Administrative Officer and will be located in York's Greenwood Village office (no remote option). Responsibilities The role will support a wide range of legal activities that contribute to York's strategic growth, compliance posture, and operational success. Core responsibilities may include: Government Contracts & Related Compliance * Providing guidance and support on federal contracting matters, in particular firm fixed-price contracts and OTAs, including contract interpretation, and compliance with government customer and regulatory requirements such as national security considerations and price reasonableness determinations. * Providing legal support and guidance throughout the contract lifecycle, inclusive of facilitating ECPs and addressing cost and pricing matters. * Resolve disputes, inclusive of managing bid protests. Organizational Conflicts of Interest (OCI) & Firewall Management * Developing, implementing, and managing OCI mitigation plans and firewall protocols. * Partnering with cross-functional teams to proactively identify potential OCIs and maintain robust monitoring, training, and documentation practices. * Addressing such matters in the context of corporate structuring and subsidiary management. Supplier Management Support * Providing subcontract interpretation and negotiations support, inclusive of interrelationship with prime contract performance. Contributing to cross-functional teams to resolve disputes. Facilitating pricing discussions and subcontract amendments as required. Proposal and Prime Contract Negotiations Support * Providing legal support for government and commercial prime contracts, inclusive of risk management, title transfer, dispute resolution, and termination provisions. Mergers & Acquisitions / Strategic Transactions * Leading or supporting legal aspects of domestic and international acquisitions, mergers, joint ventures, and other strategic transactions. May include credit facility management and tax advice. * Overseeing or contributing to deal structuring, negotiation, diligence, and post closing integration. * Coordinating closely with internal stakeholders across finance, tax, people operations, engineering, and program teams. International Compliance & U.S. Government Regulatory Matters * Advising on global regulatory considerations, including export controls, foreign investment reviews, sanctions, and cross border compliance obligations. * Ensuring York's international operations and deal activities align with relevant U.S. Government rules and international legal frameworks. Treasury, Credit Facilities & Financing Support * Providing legal guidance on debt portfolio management, credit facility negotiations, refinancing, and capital structure initiatives. * Ensuring compliance with contractual terms, disclosure obligations, and applicable regulatory requirements. Qualifications & Experience * JD from an accredited law school; active bar membership in good standing in at least one jurisdiction. * 12+ years of relevant post-graduate legal experience; a combination of law firm, government and in-house preferred. * 5+ years of in-depth experience in U.S. Government contracting, including firm fixed price contracts and OTAs. * Proven track record managing legal matters associated with complex, multi-disciplinary prime contracts throughout operational mission lifecycle. * Substantial experience in one or more of the following areas: intellectual property, national security, dispute resolution, subsidiary management, pricing determinations, international business/cross-border transactions. * Experience supporting manufacturing and high-tech industries; experience with space industry preferred. * Ability to maintain composure in high-stress and time-pressured situations. * Ability and willingness to handle both sophisticate and more routine matters. * Active TS-SCI clearance or lower-level clearance with ability to upgrade. In compliance with local law, we are disclosing the compensation, or a range thereof, for roles in locations where legally required. Actual salaries will vary based on several factors, including but not limited to external market data, internal equity, location, skill set, experience, and/or performance. Base pay is just one component of York's total compensation package for employees. Pay range: $180,000 to $280,000 base salary annually. This role is eligible to participate in our equity award program. Any award is discretionary and not guaranteed and may be contingent upon individual and/or Company performance. The amount, timing, and terms of any equity award will be determined in accordance with the Company's equity incentive plan and applicable policies. Other rewards may include annual bonuses, short- and long-term incentives, and accomplishment-specific awards.
