Job description

Direct Counsel is seeking a Finance Associate to join a premier Finance practice in Houston. This is an excellent opportunity for an attorney with debt finance experience who is looking to work on sophisticated financing transactions involving private equity sponsors, corporate borrowers, lenders, and energy-sector clients.

The ideal candidate will have experience handling debt finance matters, with exposure to acquisition financings and a strong interest in complex financing transactions.

Responsibilities
  • Advise borrowers, lenders, private equity sponsors, and corporate clients on financing transactions
  • Structure, negotiate, and document:
    • Debt financings
    • Acquisition financings
    • Secured lending transactions
    • Corporate finance transactions
  • Draft and negotiate credit agreements, security documents, guarantees, and related financing documents
  • Support private equity-sponsored acquisition transactions
  • Conduct financing due diligence and manage transaction execution
  • Work closely with corporate, private equity, restructuring, and energy attorneys on multidisciplinary matters
  • Advise clients on financing structures and market terms
  • Manage transactions from inception through closing
Qualifications
  • J.D. from an accredited law school
  • Law school class years 2020–2023
  • Debt finance experience at a peer law firm
  • Experience with secured lending and financing transactions
  • Private equity acquisition finance experience preferred
  • Experience with oil and gas or broader energy-sector transactions preferred
  • Experience representing borrowers is welcomed
  • Strong drafting and negotiation skills
  • Excellent analytical, organizational, and communication abilities
  • Ability to manage sophisticated transactions and client relationships
  • Strong academic credentials
