Finance Associate Attorney (Structured / Asset-Based Finance)

Location: New York, New York

Direct Counsel is seeking a Finance Associate to join a leading international law firm’s premier Finance Practice Group. This is an opportunity for a senior-level transactional finance attorney to work on sophisticated structured finance and asset-based lending transactions within a highly collaborative, client-facing practice.

The firm’s finance platform is recognized for handling complex, fast-moving transactions across global markets and offers significant responsibility, direct client interaction, and leadership opportunities within deal teams.

Responsibilities
  • Represent issuers, investors, and lenders in structured finance and asset-based finance transactions
  • Lead and manage components of complex financing transactions independently
  • Work on warehouse lending facilities, forward flow transactions, whole loan transfers, repurchase agreements, and securitizations
  • Structure, document, and negotiate sophisticated financing arrangements
  • Coordinate and collaborate with tax, corporate, regulatory, and other advisory teams
  • Manage junior associates and contribute to deal execution strategy
  • Interface directly with clients and counterparties on active transactions
Qualifications
  • 5+ years of experience in structured finance and/or asset-based lending transactions
  • Strong experience with securitizations and securitization-related structures
  • Background representing issuers, investors, and/or lenders in complex financing deals
  • Experience managing deal components and supervising junior team members
  • Strong communication, leadership, and client relationship skills
  • Excellent academic credentials and prior Big Law experience
  • Admission to the New York State Bar
