Direct Counsel is seeking a Structured Finance Associate Attorney to join a highly regarded Am Law 100 firm in New York, New York.

This is an exceptional opportunity for an attorney with 4–6 years of structured finance experience to join a nationally recognized finance practice advising clients on sophisticated warehouse lending, securitizations, and other secured finance transactions involving mortgage and asset-backed platforms.

Key Responsibilities
  • Represent clients in complex structured finance and secured lending transactions.

  • Advise on repurchase and warehouse facilities, syndicated credit facilities, securitizations, and other secured finance matters.

  • Draft, review, and negotiate complex transaction documents, including:

    • Repurchase agreements

    • Credit agreements

    • Pooling and servicing agreements

    • Indentures

    • Private placement memoranda

    • Offering materials

    • Intercreditor agreements

  • Advise clients on financing structures supporting mortgage-backed and asset-backed lending platforms.

  • Counsel clients on servicing, collateral, and transaction structuring issues.

  • Collaborate with multidisciplinary teams to manage transactions from structuring through closing.

Qualifications
  • J.D. from an accredited law school with excellent academic credentials.

  • Active Bar membership in good standing.
