Structured Finance Associate (3+ Years) – New York, NY


Overview
Direct Counsel is seeking a Structured Finance Associate to join a leading law firm’s New York office. This role offers hands-on experience with complex securitization and structured finance transactions, along with direct client and partner interaction.


Responsibilities

  • Assist with structuring, negotiating, and documenting structured finance and securitization transactions
  • Support warehouse credit facilities, forward flow arrangements, and related financings
  • Manage deal execution from structuring through closing
  • Draft and review offering materials and transaction documents
  • Collaborate across practice groups on complex financings
  • Mentor and support junior team members

Qualifications

  • 3+ years of structured finance/securitization experience
  • Experience representing issuers, sponsors, borrowers, or lenders
  • Strong drafting, analytical, and communication skills
  • Ability to manage multiple transactions in a fast-paced environment
  • J.D. required; New York Bar admission required

Preferred Experience

  • ABS, esoteric assets, or consumer receivables
  • Warehouse lending and related structures
