Job description

What The Role Is
Counsel will advise and work with management and project teams as Clearway positions itself to capture emerging opportunities in utility-scale wind, utility-scale solar, battery energy storage, and gas segments of the energy industry. This hybrid position reports to an Assistant General Counsel and may be in any of our Denver, San Francisco, San Diego, or Scottsdale offices.
Pay by location:
  • Denver, Scottsdale: $147,000 - $175,000
  • San Diego: 162,000 - $190,000
  • San Francisco: $175,000 - $210,000

What You'll Be Doing
  • Review, interpret, draft, and negotiate project documents such as power purchase agreements
  • Review, interpret, draft, and negotiate financing documents, including tax equity structures, debt financing, and cash equity financing
  • Represent the company in acquisitions and dispositions
  • Supervise outside counsel, as necessary
  • Provide counsel on legal issues identified by asset management in connection with operating projects
  • Support management of litigation and other dispute resolution processes
  • Advise management on regulatory issues
  • Assist other attorneys on additional projects as necessary
  • Work cross-functionally with different practice groups to guide a project through its lifecycle
  • Work closely with internal stakeholders to facilitate continuous improvements to contracting processes and tools
What You'll Bring
  • JD and a strong academic record from an accredited law school, and a license to practice law are required.
  • A minimum of 3 years of relevant experience as an attorney at a law firm or with an in-house legal department, ideally with exposure to complex commercial or project finance matters.
  • Experience advising clients with respect to project finance and development matters involving utility-scale wind, utility-scale solar, battery energy storage, and gas projects.
  • Ability to work independently and as a team member, ability to set priorities and respond to changing demands from multiple sources.
  • Ability to retain and review complex information and articulate conclusions, risk assessments, and associated recommendations.
  • Ability to thrive in an entrepreneurial, fast-paced, collaborative environment with multiple priorities.
  • Demonstrated ability to deliver high-quality legal work with accuracy, attention to detail, and sound judgment.
