Job description

Echo Base is seeking an Associate, Counsel, to join the Echo Base legal team. Echo Base is a private holding company pursuing special situation control investments in the digital assets space. Its global crypto team possesses deep experience in both the scaling of new ventures and the restructuring of complex assets. Echo Base seeks to leverage operational and technical synergies across its portfolio companies to drive innovation. Est. 2025.

Key Responsibilities

The Associate, Counsel will manage complex projects that require coordination across multiple time zones, navigating challenging legal issues and tight deadlines. This role will assist with global corporate administration efforts, ensuring compliance with relevant international and local corporate laws in addition to supporting corporate governance efforts and all related activities. A strong focus on commercial pragmatism will be essential to effectively balance legal considerations with business objectives.

Amongst the typical responsibilities of this role, the following areas will be of focus:

M&A Support: Assist General Counsel in M&A transactions by conducting due diligence, reviewing purchase and shareholder agreements, and supporting transactional document preparation. Help facilitate post-merger integration, including contract transitions and implementation.

Cross-Functional Collaboration & Legal Team Optimization
  • Enhance collaboration by developing standardized legal frameworks, playbooks, and automated approval processes to improve efficiency in contract lifecycle management.
  • Implement best practices for legal document organization, version control, and workflow automation to minimize bottlenecks and improve turnaround times.
  • Support budgeting and legal spend optimization by conducting cost-benefit analyses, tracking external counsel expenses, and identifying opportunities for cost savings.

Corporate Governance: Support corporate governance matters, including drafting board resolutions and policies. Assist in maintaining corporate records and ensuring compliance with governance frameworks. Monitor and track key governance deadlines and filings.

Data Privacy & Security: Ensure compliance with data protection laws, cybersecurity regulations, and fintech-specific privacy requirements for digital asset businesses.

Preferred Qualifications
  • 4+ years of relevant experience at a top law firm.
  • Excellent interpersonal and communication skills, including ability to communicate information effectively internally and externally and to drive cross-functional alignment and action.
  • Excellent project management skills.
  • Very strong attention to detail and ability to stay organized in a fast-paced environment.
  • Prior in-house experience at a financial technology company is a plus.
  • Strong interest in cryptocurrency, blockchain technology, and reshaping the global financial system to increase economic freedom.
  • Juris Doctor (JD) degree from an accredited law school.
  • Must be active and in good standing in one State Bar in the United States.
