The Corporate Associate Attorney will play a key role in advising privately held businesses, entrepreneurs, and investors on a broad range of corporate and business law matters. Responsibilities:

  • Represent closely held businesses, entrepreneurs, and investors in a variety of corporate and transactional matters.
  • Draft, review, and negotiate purchase and sale agreements for asset and stock transactions.
  • Advise clients on entity formation, business structuring, and corporate governance matters.
  • Prepare and negotiate operating agreements, shareholder agreements, buy-sell agreements, and other governing documents.
  • Counsel clients on member and shareholder buy-ins, buy-outs, and ownership transitions.
  • Serve as a trusted legal advisor to privately held companies on day-to-day corporate matters.
  • Collaborate with clients and colleagues to deliver practical, business-focused legal solutions.
  • Support mergers and acquisitions, commercial real estate transactions, and private financing matters, as experience permits.

Requirements:

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to practice law in New York (or eligibility for admission).
  • 3+ years of corporate and transactional legal experience.
  • Experience representing closely held businesses and business owners, preferred.
  • Strong drafting, negotiation, analytical, and problem-solving skills.
  • Excellent written, verbal, and interpersonal communication skills.
  • Client-focused mindset with strong business judgment and an entrepreneurial approach to practicing law.
