Primary Purpose

The Contracts Specialist is responsible for supporting the Company’s contracting processes by coordinating, tracking, reviewing, and facilitating execution of client, vendor, and partner agreements. In addition to day-to-day contract support, the Contract Specialist supports initiatives related to contract policies, processes, and education; leverages technology to support contract review and record-keeping; and aligns the contract review function with broader business objectives. This role requires exceptional data entry, communication, and negotiation skills; a solid understanding of contract principals and application of substantive conditions; and the ability to provide practical, business-oriented legal advice in a fast-paced environment.

Responsibilities

  • Maintain organized systems for contractual instruments and other areas of responsibility, consistent with department processes, including data entry and record-keeping of contract library
  • Assist with management of contract database and contract review pipeline
  • Assist in upkeep and tracking of company standard contract forms. Some drafting may be required of NDAs, confidentiality agreements, consultant and subcontractor agreements, and contract amendments in consultation with Manager
  • Mitigate key areas of contractual risk for the Company through reviewing, analyzing, and negotiating a broad range of contractual instruments typical in the engineering/procurement/construction industries and consulting
  • Support internal Company representatives in other key functions (including purchasing, accounting, IT, and operations) with contract interpretation, particularly related to performance obligations, and helping them to identify ways to mitigate contractual risk
  • Research contract- and risk-related legal issues in all geographical areas in which Company operates
  • Understand and respond to inquiries regarding insurance and bonds from internal and external clients in connection with contract review responsibilities; educate internal business representatives on insurance and bonding requirements
  • Assist with the development, implementation, delivery, and maintenance of company educational programs regarding contract processes, contract management platforms, and other subjects within areas of responsibility
  • Support departmental and Company strategic goals via completion of projects as assigned from time to time
  • Excellent organizational and time management skills, to enable independent management of multiple projects simultaneously
  • Excellent interpersonal communication skills, to work on cross-functional teams and maintain accountability on shared projects, as well as provide a positive and constructive approach to problem-solving
  • High level of integrity and ethics, to handle sensitive and proprietary information with discretion and confidentiality
  • Ability to apply complex concepts across varied and nuanced scenarios with demonstrated understanding of how decisions and actions align with organizational strategy and risk tolerance

Minimum Qualifications

  • Bachelor’s Degree and 5+ years’ relevant experience; or Juris Doctor and 2+ years’ relevant experience
  • Relevant experience includes work in a law firm or corporate setting as a paralegal, attorney, contracts administrator, compliance manager, or similar function with responsibilities for contract review, negotiation, and administration. Previous experience supporting the design and construction industry preferred
  • Demonstrated interest in or familiarity with contracting, risk, and insurance concepts typical in the engineering/procurement/construction industries preferred
  • Proficient using Adobe DC Professional and Microsoft Office products, such as Word, Teams, PowerPoint, Outlook, CoPilot, and SharePoint
  • A quick thinker, with experience and desire to conduct research in legal and compliance-related issues
  • A strong writer, with attention to detail and experience with proof-reading documents for grammar and style
  • A positive attitude and customer service mindset, as this position may interface with business units, sales managers, and members of the leadership team

Work Environment This position has a home base in our Eden Prairie, Minnesota, corporate headquarters. Physical demands are those of a typical office environment. Hybrid working arrangements are available.
