Job description

Job Description
In the role, you will be a key partner to business development and project teams. You will be responsible for handling a wide range of moderate to complex legal contracts and legal tasks, including administrative and executive support-related tasks. You will also review, negotiate, and maintain agreements, records, and litigation/claim reports and recognize potential problems and address them.
This is an in-house counsel opportunity for a JD-degree attorney to support contract negotiations, corporate matters, and management across our organization.
Your responsibilities will include:
  • Drafting, reviewing, revising, and negotiating Customer Agreements, which include service, conceptual design, design, architecture, engineering, design-build, construction management, and construction management at risk agreements
  • Drafting, reviewing, revising, and negotiating a variety of other contracts including Non-Disclosure Agreements, Teaming Agreements, and Subcontracts
  • Researching and staying up to date with changes to legislation, laws, statutes, rules, and regulations affecting the corporate and construction industry
  • Maintaining corporate records, including officers' and directors' lists
  • Maintaining a litigation/claims status report, including any due dates for action items
  • Maintaining ITAR/EAR documentation and registration
  • Maintaining corporate seals as necessary
  • Compiling data and information necessary to maintain company licenses
  • High level of coordination for setting priorities, complex tasks, and adhering to strict deadlines
  • Compiling data and/or performing research for reports and materials for publications and presentations for executives and/or company
  • Reading and analyzing incoming notices, memos, and reports to determine the significance and distribution
  • Setting up and coordinating meetings and high-level conference calls and develop agendas as needed
  • May be responsible for independent projects in addition to routine support duties, as necessary
  • May need to travel, including for various assignments and negotiations
  • Other duties which may be assigned as needed

Education/Experience:
  • Juris Doctorate required
  • Oklahoma Bar License (or another Bar License)
  • 2 to 5 years of experience preferred

To thrive in this role, you'll need:
  • Knowledge of contractual and legal concepts
  • Ability to communicate effectively verbally and in writing
  • Excellent negotiating and drafting skills
  • Excellent interpersonal skills
  • Proficiency in Microsoft Office programs and redlining in Microsoft Word
  • Experience or familiarity with construction industry and terminology
  • Understanding of commercial and corporate law
  • Familiarity and knowledge of AIA and DBIA contracts (preferred)
  • Ability to work with all levels of management and maintain strong professional relationships
  • Excellent organizational skills and attention to detail
  • Ability to keep confidential information
  • Knowledge of federal and commercial contracting regulations (preferred)
  • Ability to provide, as well as carry out, detailed verbal and written instructions independently
  • Willingness to collaborate with others to accomplish organizational goals; identify and resolve problems
  • Logical or rational thinking to solve problems; make decisions based on personal judgement

Environmental Factors and/or Physical Requirements:
While performing the duties of this job, this position is required to have ordinary ambulatory skills sufficient to visit other locations; and the ability to stand, walk, stoop, kneel, crouch, and manipulate (lift, carry, move) light to medium weights of 10-50 pounds. Requires good hand-eye coordination, and arm, hand and finger dexterity, including the ability to grasp, and visual acuity to use a keyboard, operate equipment and read application/form information. The associate frequently is required to sit, reach with hands and arms, talk, and hear.
