Job description

Position Overview

ANSER is seeking a Domestic Mergers & Acquisitions (M&A) Case Analyst to support the Office of the Deputy Assistant Secretary of Defense for Industrial Base Policy (IBP), Global Investment and Economic Security Directorate (GIES). You will monitor, research, and analyze domestic mergers and acquisitions involving major U.S. defense suppliers to assess potential impacts to the Defense Industrial Base (DIB). You will conduct due diligence, prepare analytic products and briefings, identify risks and benefits to the Department of Defense (DoD), and supporting interagency coordination related to M&A reviews.

Day to Day Responsibilities

  • Review and assess domestic M&A transactions subject to the Hart-Scott-Rodino (HSR) Act and DoD Directive 5000.62, including processing non-HSR transactions through the DoD M&A due diligence process.
  • Analyze transaction documentation including premerger filings, corporate ownership structures, financial statements, purchase agreements, product and competition data, market share information, technology data, and U.S. Government contracting information.
  • Conduct due diligence and fact-finding research to assess potential national security implications, competition impacts, supply chain access risks, and effects on existing or future DoD programs and contracts.
  • Prepare case summaries, risk assessments, analytic reports, and briefings describing methodologies, datasets, analysis, findings, and recommendations.
  • Coordinate with DoD stakeholders to collect and consolidate comments, conduct interviews, and develop DoD positions on pending M&A transactions.
  • Support collaboration and information exchanges with antitrust agencies, including the Department of Justice (DOJ) and the Federal Trade Commission (FTC), during merger investigations and reviews.
  • Manage multiple concurrent cases and analytic decision points while evaluating companies across multiple investment tiers and proposing courses of action.
  • Monitor transactions following HSR review to identify emerging risks to the Department and recommend additional actions when necessary.
  • Support oversight and monitoring of Consent Orders or similar agreements affecting the Defense Industrial Base.
  • Conduct compliance monitoring activities, including stakeholder meetings and site visits to evaluate transaction implementation and mitigation measures.
  • Collaborate with investment analysts, legal counsel, transaction parties, and other government stakeholders to support the M&A review process.
  • Produce leadership materials including case summaries, action memoranda, and talking points for senior DoD officials.
  • Support the development or update of DoD directives, instructions, or policy guidance related to merger review or outbound investment processes.
  • Contribute analytic support to emerging policy issues involving mergers, acquisitions, joint ventures, investments, and strategic alliances affecting the DIB.

Required Qualifications

  • Active TS/SCI eligible clearance
  • Bachelor's Degree. Will consider an additional 6 years of relevant experience with an associate's degree or 3 years of relevant experience with a Master's degree.
  • 4+ years of relevant experience including analysis or research related to mergers and acquisitions, corporate transactions, investment activity, industrial base or national security analysis, financial or economic analysis, regulatory or policy analysis, or research into complex corporate structures, ownership relationships, market competition, or government contracting environments
  • Demonstrated experience in at least one of the following focus areas:
    • Economics
    • Finance
    • National Security
    • Business Administration
  • Experience researching and analyzing complex corporate structures and investment/acquisition transactions.
  • Superior analytic and writing skills with demonstrated ability to prepare reports, assessments, and briefings.

Preferred Qualifications

  • Ability to communicate effectively (written and oral) with senior U.S. Government and DoD leadership.
  • Experience monitoring, auditing, or enforcing government regulatory requirements.
  • Experience preparing forecasts, analyzing economic or industry trends, assessing regulatory environments, and identifying potential risks.
  • Experience developing and analyzing metrics, performance measures, requirements, reports, and recommendations related to organizational management, policy/procedures, and business systems.
