Corporate Associate Attorney (Energy)

Direct Counsel is seeking a Corporate Associate Attorney to join the Energy practice of a highly regarded national law firm. This is an outstanding opportunity for a transactional attorney with 2โ€“4 years of corporate experience who is interested in developing deep expertise within the energy industry while working on sophisticated transactions for a diverse client base.

About the Role

The successful candidate will join a nationally recognized Energy practice advising clients on a wide range of corporate transactions across the energy sector. This role offers significant client interaction, opportunities to lead transactions, and hands-on experience with complex matters in one of the fastest-growing areas of corporate law.

Responsibilities
  • Represent clients in a broad range of corporate transactions, including mergers and acquisitions, debt and equity financings, and general corporate matters.

  • Draft, review, and negotiate transaction documents, including purchase agreements, financing and security agreements, disclosure schedules, LLC operating agreements, and other commercial contracts.

  • Advise clients on corporate governance, licensing matters, and day-to-day business issues.

  • Assist with managing complex, multi-document transactions from inception through closing.

  • Collaborate closely with partners and clients to develop practical, business-focused legal solutions.

  • Build strong client relationships while delivering exceptional client service.

Qualifications
  • J.D. from an accredited law school.

  • 2โ€“4 years of corporate transactional experience.

  • Experience with mergers and acquisitions, financings, corporate governance, and general corporate transactions.

  • Experience drafting and negotiating sophisticated transaction documents.

  • Interest in the energy industry; prior energy transaction experience is preferred but not required.

  • Admission to the Connecticut or Massachusetts Bar and in good standing.

  • Excellent drafting, analytical, research, communication, and client service skills.

  • Strong organizational abilities and the capacity to manage multiple complex transactions.
