About the Role

We are seeking a talented and motivated Corporate Associate to join a dynamic legal team in Buffalo, NY. This is an excellent opportunity for a junior attorney with 2 3 years of relevant experience to grow within a collaborative and forward-thinking environment. The ideal candidate will support a broad range of corporate and commercial matters, providing strategic legal guidance to a diverse client base.

Key Responsibilities
  • Assist in all areas of corporate and commercial law, providing legal counsel to business clients.

  • Draft, review, and revise a wide variety of commercial agreements, including:

    • Operating and shareholder agreements

    • Mergers and acquisitions documentation

    • Commercial contracts and financing agreements

  • Advise clients on legal aspects of business formation, corporate structure, compliance, and risk management.

  • Evaluate corporate policies and procedures for compliance with legal regulations and industry standards.

  • Conduct legal research on corporate and transactional matters.

  • Collaborate with colleagues across practice areas to provide integrated legal solutions.

Requirements
  • Juris Doctor (J.D.) from an accredited law school.

  • 2 3 years of relevant experience in corporate law, commercial transactions, M&A, and contract work.

  • Strong analytical, drafting, and negotiation skills.

  • Excellent written and verbal communication abilities.

  • Proven ability to collaborate effectively within a team-oriented legal environment.
