This position will be based in Charlotte, NC.
Reporting
This position will report to the Assistant General Counsel, Capital Markets.
Summary of Role
Join Palmetto's Legal & Capital Markets team and help scale a growing, data-driven energy tech company. In this role, you'll work at the center of legal operations, capital markets, and corporate finance, partnering with internal business teams, investors, lenders, and outside counsel on high-impact transactions. You'll have direct responsibility, close access to decision-makers, and the opportunity to build repeatable deal processes that make the legal function faster and more effective. Strategic & Tactical
  • Review transaction documents, advise on legal issues, and coordinate outside counsel in partnership with Capital Markets across multiple tiers of financing - tax equity, back leverage and other project finance transactions - with meaningful ownership from diligence through closing
  • Draft and maintain corporate governance documents, including Board resolutions, consents, officer certificates, and fund-level approvals
  • Oversee company registrations, entity maintenance, and annual reporting for Palmetto and related investment vehicles
  • Support investor and lender relationships, including KYC, reporting, diligence requests, and transaction deliverables
  • Identify and implement process improvements that reduce friction in repeat transactions and help the team scale
  • Build trusted relationships across Legal, Capital Markets, Finance, Accounting, Operations, and external deal teams
  • Exercise sound judgment in a fast-moving environment with shifting priorities, live deal timelines, and urgent business needs
  • Support compliance with applicable external and internal regulations, procedures, and guidelines in collaboration with legal and business stakeholders
  • Leverage AI tools to accelerate contract review, advise the commercial team, and draft documents, freeing capacity for higher-judgment work across the transaction lifecycle

Qualifications
  • JD from an accredited law school and licensed to practice law in at least one US jurisdiction, with preference for NY or NC
  • At least 3 years of law firm transactional experience, preferably in corporate, finance, project finance, renewable energy, or tax equity transactions
  • Strong drafting, communication, organizational, and critical thinking skills
  • High business acumen and commercial judgment
  • Proficiency in Microsoft Office Suite, DealVDR, Teams and Google Apps, with interest in using AI-enabled legal software and other tools to improve legal workflows
