Salary: $235,000–$435,000 (commensurate with experience)

Direct Counsel is seeking a Technology Companies Group Associate Attorney to join a leading Am Law firm'snationally recognized Technology Companies Group. This opportunity is ideal for attorneys with 2–8 years of experiencerepresenting high-growth technology companies, venture capital investors, and emerging businesses throughout the business lifecycle.

The successful candidate will work with some of the world's most innovative startups, unicorns, and venture capital funds on sophisticated venture financings, corporate transactions, and strategic growth initiatives. This role offers exposure to cutting-edge companies across AI, fintech, enterprise software, digital health, climate technology, consumer products, and other emerging industries.

Responsibilities
  • Represent emerging growth companies throughout all stages of the business lifecycle, from formation through exit.
  • Advise startups and high-growth technology companies on corporate governance and strategic business matters.
  • Represent venture capital funds, private equity firms, founders, and strategic investors in venture financings and private offerings.
  • Structure, draft, and negotiate financing documents, stock purchase agreements, investor rights agreements, and related transaction documents.
  • Counsel clients on seed, Series A through late-stage venture financings, convertible note financings, and SAFE financings.
  • Support mergers, acquisitions, strategic investments, and other exit transactions involving emerging companies.
  • Conduct legal due diligence and coordinate transaction execution.
  • Collaborate closely with attorneys across corporate, intellectual property, tax, employment, and technology transactions practices.
  • Build long-term client relationships while serving as a trusted advisor to innovative technology companies.
Qualifications
  • J.D. from an accredited law school with outstanding academic credentials.
  • Active bar admission in the jurisdiction where the attorney will practice.
  • 2–8 years of experience at a major law firm representing emerging companies, venture capital investors, and private companies.
  • Significant experience with private offerings, venture capital financings, and emerging company transactions.
  • Strong knowledge of startup financing structures and corporate governance.
  • Excellent drafting, negotiation, analytical, and problem-solving skills.
  • Outstanding written, verbal, and interpersonal communication abilities.
  • Highly motivated with the ability to thrive in a fast-paced, collaborative environment.
  • Strong commitment to exceptional client service and professional excellence.
