ASSOCIATE GENERAL COUNSEL / CORPORATE COUNSEL

Las Vegas, Nevada | Full-Time

ABOUT THE POSITION

We are seeking a practical, business-minded Associate General Counsel / Corporate Counsel to support the company across litigation and dispute management, corporate governance, commercial contracts, compliance, risk management, and real estate matters. This is a hands-on in-house role for an attorney who can move comfortably between active disputes, day-to-day business counseling, and significant transactions.

The ideal candidate will have approximately 4-8 years of relevant legal experience, with meaningful litigation experience in state or federal court and exposure to corporate or commercial matters. Real estate, construction, or development experience is valuable, but the immediate priority is a strong generalist who can help manage disputes, protect the company, and build sound legal processes as the organization grows.

WHAT YOU WILL DO

·         Draft and review demand letters, responses, pleadings, motions, discovery, subpoenas, settlement documents, and other litigation materials.

·         Develop case strategy, investigate facts, preserve evidence, interview witnesses, evaluate exposure, and provide clear recommendations to senior management.

·         Represent or support the company in mediations, arbitrations, hearings, depositions, settlement conferences, and trial preparation, as appropriate.

·         Support corporate governance, including entity formation and maintenance, board and member consents, resolutions, signature authority, annual filings, licenses, and corporate records.

·         Draft, review, and negotiate commercial agreements, vendor and service contracts, consulting agreements, confidentiality agreements, licenses, construction-related agreements, and other business contracts.

·         Identify and help address compliance, employment, operational, and enterprise-risk issues in coordination with management and outside specialists.

·         Support real estate transactions, including purchase and sale agreements, leases, easements, covenants, title and survey matters, due diligence, closings, and property-related disputes.

·         Assist with land-use, entitlement, governmental, and development matters when needed, without serving as the primary technical land-development specialist.

·         Prepare concise, decision-oriented legal and matter-status reports for senior management.

IDEAL CANDIDATE

·         Juris Doctor (J.D.) from an accredited law school.

·         Active license to practice law in Nevada, or the ability to obtain Nevada admission promptly.

·         Approximately 4-8 years of relevant legal experience; exceptional candidates with a different experience level may be considered.

·         Meaningful litigation experience, including pleadings, discovery, motion practice, case strategy, hearings, settlement, and trial preparation.

·         Experience handling or supervising matters in Nevada state and federal courts is strongly preferred.

·         Corporate governance, commercial-contract, compliance, in-house, real estate, or construction experience is preferred.

·         Excellent legal research, writing, negotiation, analytical, organizational, and verbal communication skills.

·         Sound judgment, high integrity, strong attention to detail, and the ability to manage multiple urgent priorities.

·         Practical, decisive, resilient, and comfortable working directly with executives and operating teams.
