For more information, please visit solera.com.**The Role** The Associate General Counsel (AGC) is a senior member of the Solera Legal team responsible for providing creative, practical, and business‐oriented legal counsel across a broad range of commercial, corporate, compliance, and operational matters. This leader will serve as a trusted advisor to executives and cross‐functional teams, with a particular focus on supporting Solera’s Fleet businesses. The AGC must bring strong executive presence, exceptional communication skills, and the ability to translate complex legal issues into clear, actionable guidance. The role includes oversight of litigation, commercial contracting, contract operations, dispute resolution, and process improvement initiatives, while managing and developing a small team of legal professionals.**Key Responsibilities:****Commercial Contracts & Transactions*** ·Draft, review, and negotiate a wide range of commercial agreements, including customer contracts, MSAs, licensing agreements, vendor/supplier agreements, NDAs, amendments, and SOWs.* ·Provide strategic guidance on contract structure, risk allocation, pricing terms, and compliance with internal policies and applicable law.* ·Interpret and enforce contract terms throughout the customer lifecycle, including drafting enforcement notices and coordinating cross‐functional responses to customer issues.* ·Partner with product and engineering teams to ensure contracts align with new product launches, enhancements, and technical requirements.* ·Support product and business teams during product launches or end‐of‐life transitions by reviewing contract language, advising on customer communications, and guiding leadership through risk‐managed execution **Contract Operations & Team Leadership*** ·Lead, mentor, and develop junior legal team members, including attorneys, contract administrators, and paralegals.* ·Establish and refine workflows, approval processes, and escalation paths to drive efficiency and consistency in contract review.* ·Negotiate directly with customer counsel, balancing commercial objectives with appropriate risk management.* ·Collaborate with Sales Operations and business stakeholders to improve contract turnaround times while maintaining strong controls.**Litigation & Dispute Management*** ·Oversee all phases of litigation and pre‐litigation matters, including commercial disputes, customer claims, and vendor issues.* ·Develop litigation strategy in partnership with internal stakeholders and manage outside counsel to ensure cost‐effective, timely, and business‐aligned outcomes.* ·Serve as the primary escalation point for contract disputes and customer collections, partnering closely with the Deputy GC, Finance, Sales, and other applicable departments.* ·Assess litigation risk, advise leadership on exposure and resolution options, and support settlement negotiations.* ·Build and maintain a streamlined process for customer billing disputes to ensure efficient handoff between Finance and Legal and timely resolution of unpaid invoices. **Process Improvement & Legal Operations*** ·Identify opportunities to enhance legal processes, including contract lifecycle management, dispute intake, and litigation tracking.* ·Lead or support initiatives to standardize templates, playbooks, clause libraries, and negotiation guidelines. **Risk Analysis & Business Counseling*** ·Deliver clear, actionable risk assessments that balance legal exposure with commercial priorities.* ·Translate complex legal concepts into practical guidance for non‐legal audiences.* ·Proactively identify emerging legal risks and recommend mitigation strategies aligned with business objectives.* ·Know when to escalate material legal and commercial risks to Legal and business leadership, obtain required approvals, and present clear mitigation options and recommended paths forward. **Communication & Cross‐Functional Collaboration*** ·Partner closely with senior leaders across Sales, Finance, HR, Compliance, Engineering, and Operations.* ·Demonstrate strong written and verbal communication skills in executive‐level presentations, negotiations, and day‐to‐day counseling.* ·Foster a collaborative, service‐oriented culture within the Legal team and across the organization. **Key Competencies**·Strategic thinking and risk analysis·Executive‐level communication and presence·Expertise in contract negotiation and drafting·Litigation and dispute resolution leadership·Process improvement and operational mindset·People leadership and outside counsel management **What You’ll Bring*** ·Juris Doctor from an ABA‐accredited law school;
