Our client, a private equity-backed technology company, is seeking a General Counsel to build and lead its legal function during an exciting stage of growth. Reporting directly to executive leadership, this individual will serve as a strategic business partner while overseeing the company's commercial legal operations, data privacy initiatives, AI governance, corporate matters, and broader legal strategy.

This is an opportunity for a hands-on legal leader who enjoys building processes, partnering closely with the business, and balancing risk with commercial objectives in a fast-paced SaaS environment.

Key ResponsibilitiesCommercial Contracting

• Lead the company's commercial contracting function, including customer, partner, and vendor agreements.
• Negotiate and advise on complex commercial agreements, including:
• Enterprise SaaS agreements
• Master Services Agreements (MSAs)
• Data processing and privacy agreements
• Strategic partnership, channel, and reseller agreements
• Serve as the escalation point for complex or high-risk commercial transactions.
• Partner closely with Sales and business leaders to enable revenue growth while maintaining an appropriate risk profile.

Revenue Enablement & Legal Operations

• Develop scalable contracting processes and legal playbooks.
• Create standard templates, clause libraries, approval workflows, and contracting guidelines.
• Support implementation and optimization of contract lifecycle management (CLM) tools.
• Establish metrics around contract turnaround time, deal velocity, and contracting efficiency.

Data Privacy & AI Governance

• Advise on domestic and international privacy regulations, including GDPR and other global privacy frameworks.
• Partner with Product, Engineering, and Security teams on privacy, cybersecurity, and data governance initiatives.
• Develop legal frameworks supporting responsible AI deployment and emerging technologies.
• Counsel the business on intellectual property, software licensing, and technology-related legal matters.

Corporate & Strategic Initiatives

• Support corporate governance matters and executive leadership.
• Provide legal guidance on mergers, acquisitions, strategic partnerships, and corporate transactions.
• Advise on employment, litigation management, insurance, compliance, and other legal matters as needed.

Leadership

• Build and mentor a high-performing commercial legal function.
• Evaluate and optimize existing legal support processes.
• Manage outside counsel and specialized legal advisors.
• Foster a collaborative, practical, and business-oriented legal culture.

QualificationsRequired Experience

• Juris Doctor (JD) and active bar membership in good standing.
• 12+ years of legal experience, with substantial in-house experience supporting technology or SaaS organizations.
• Extensive experience negotiating complex commercial and enterprise technology agreements.
• Strong background in:
• SaaS and software licensing
• Commercial contracting
• Data privacy and information security
• Strategic partnerships
• Global contracting and regulatory compliance
• Experience supporting high-growth, private equity-backed, or rapidly scaling organizations is highly preferred.
• Experience with mergers and acquisitions or other strategic corporate transactions.

Preferred Qualifications

• Privacy certification (CIPP/US, CIPP/E, or similar).
• Experience with contract lifecycle management (CLM) platforms and legal operations tools.
• Familiarity with AI governance, emerging technology regulation, and evolving global privacy laws.

Location

• Hybrid schedule (3 days per week onsite in plano).
