Corporate Associate Attorney

Direct Counsel is seeking a Corporate Associate Attorney to join a sophisticated East Coast–based law firm in its Boston office.

This is an excellent opportunity for a 2–4 year corporate associate to join a growing transactional team handling a broad range of sophisticated corporate, M&A, private equity, financing, and venture capital matters. The role offers meaningful responsibility, strong mentorship, and exposure to high-level transactional work in a collaborative, team-oriented environment.

Position Overview

The ideal candidate will have 2–4 years of corporate transactional experience across a broad mix of business law matters, including mergers and acquisitions, private equity, debt and equity financings, venture capital transactions, joint ventures, capital markets, and corporate governance.

This is an ideal role for an associate seeking hands-on drafting and deal execution experience while working closely with experienced partners and clients on sophisticated transactions.

The firm offers a hybrid schedule with two remote days per week.

Key Responsibilities
  • Draft and negotiate transaction documents, including:
    • Asset purchase agreements
    • Stock purchase agreements
    • Operating agreements
    • Disclosure schedules
  • Support M&A transactions and strategic acquisitions
  • Assist with private equity and venture capital financings
  • Handle debt and equity financing transactions
  • Advise on joint ventures and capital markets matters
  • Assist with corporate governance and general corporate counseling
  • Support licensing and other strategic commercial transactions
  • Conduct legal research and transactional analysis
  • Manage deal timelines, diligence, and closing workflows
Qualifications
  • J.D. from an accredited law school
  • 2–4 years of corporate transactional experience
  • Strong background in:

Compensation

Base salary range: $190,000 – $210,000
