Job description

Position Summary

The Senior Counsel position will provide legal counsel with respect to the preparation and negotiation of commercial contracts.

General Duties and Responsibilities
  • Provide legal advice, drafting and negotiation support to company’s operational units including business development, operations, procurement, engineering, finance, and IT.
  • Negotiate and draft midstream commercial agreements, including product sales, distribution and terminaling storage and throughput agreements.
  • Negotiate and draft procurement, consulting, and construction services agreements.
  • Assist in representing the company in the due diligence, negotiation and drafting of merger, acquisition and disposition agreements, including ancillary agreements.
  • Oversee real estate transactions and negotiate and draft easements, lease agreements, rights of way and rail crossing agreements.
  • Oversee and manage outside counsel in connection with various litigation matters.

Position QualificationsKnowledge, Skills and Abilities:
  • Required experience in general corporate practice and drafting and negotiating complex transactional documents, including agreements related mergers and acquisitions, commercial contracts, and real estate matters.
  • Experience with capital markets and public company securities a plus.
  • Experience managing litigation matters and outside counsel a plus.
  • Excellent interpersonal and communication skills with the ability to effectively present information to all levels of management.
  • Proven ability to serve as a strong business partner and proven history of building trust with others.
  • Strong leadership abilities, including an assertive (yet diplomatic) personality, ability to work as part of a team, positive attitude and ability to handle change and dynamic situations.
  • Ability to multi-task, prioritize and work under pressure to meet deadlines while maintaining highest quality of work product.
  • Highly motivated team player who is focused, proactive and willing to pick up overflow work from others in the legal department when necessary.
Education, Experience, Qualifications:
  • Juris Doctor Degree from an accredited institution.
  • Admitted to practice law and in good standing.
  • 5 years of experience in legal practice required. Mix of law firm and in-house experience a plus.
