You'll serve as a legal advisor, leading the drafting, negotiation, and execution of a wide range of B2B commercial agreements across the organization. You'll partner closely with business leaders to structure, assess, and manage legal risk in support of strategic initiatives and vendor relationships. Responsibilities

As our Transaction Attorney, you will:

  • Lead the drafting, review, and negotiation of B2B agreements across the organization, including vendor contracts, partner agreements, amendments, servicing, and other commercial arrangements.
  • Establish and maintain standard contract templates, playbooks, and negotiation guidelines.
  • Provide legal support for strategic transactions, partnerships, and new business initiatives.
  • Structure transactions while appropriately balancing risk, compliance, and business objectives.
  • Identify legal and, in consultation with others, regulatory risks in contractual arrangements and develop mitigation strategies.
  • Advise internal stakeholders on risk tolerance and alternative approaches.
  • Collaborate cross-functionally with Finance, Operations, IT, Compliance, Procurement, and executive leadership.
  • Translate complex legal concepts into clear, actionable guidance for non-legal stakeholders.
  • Design and implement scalable contracting processes, including workflow tools and approval frameworks.
  • Drive efficiencies in contract lifecycle management.
  • Collaborate with outside counsel as needed for specialized matters.
  • Ensure cost-effective delivery of legal services.
  • Ensure agreements comply with applicable laws, regulations, and internal policies.

Qualifications

Requirements:

  • At least 5 years of experience practicing in a law firm or in-house, with a strong focus on commercial contracts and transactions. Experience with a credit card issuer preferred.
  • Juris Doctor (JD) from an accredited institution.
  • A general understanding of banking regulations, consumer finance and protection laws, and related rules and regulations, including Truth-in-Lending Act, Equal Credit Opportunity Act, Fair Credit Reporting Act, Military Lending Act, UDAAP, state credit card laws, GLBA/Reg P, and other laws applicable to a credit card business, preferred.
  • A general understanding of Delaware Corporate law is preferred.
  • Experience drafting and negotiating commercial agreements and contracts with vendors, business partners, and third-party providers.
  • Makes sound and quick decisions; able to move quickly and "read and react" in real time, successfully balancing business and legal priorities.
  • Superior communication skills, including clear written, verbal, and presentation skills for a variety of internal and external audiences.
  • Deep history of delivering results.
  • Ability to "zoom in and zoom out" as needed - the willingness and ability to operate both strategically and, at times, more operationally.
  • Curiosity and willingness to ask questions.
  • Position is in Portland, OR.
