Transactional Tax Associate | Philadelphia

Leading International Law Firm | Tax


An excellent opportunity for a Transactional Tax Associate to join a highly regarded international firm in Philadelphia.

The team advises on the tax aspects of sophisticated domestic and cross-border transactions, working closely with colleagues across corporate, M&A, private equity, investment management and finance.


The Role

  • Advising on federal income tax matters arising from mergers and acquisitions, private equity transactions and other corporate transactions
  • Advising on the tax structuring of acquisitions, dispositions, joint ventures and reorganizations
  • Supporting private equity sponsors, corporations, investment funds and other clients on transactional tax matters
  • Advising on tax issues relating to fund formations and investment structures
  • Assisting with tax aspects of financings, restructurings and other complex transactions
  • Conducting tax research and analysis in connection with transactions
  • Drafting and reviewing tax-related provisions in transaction documents
  • Working closely with corporate, private equity, investment management and finance teams on multidisciplinary matters
  • Gaining direct exposure to clients and taking increasing responsibility for transaction workstreams


Candidate Profile

  • 1+ yearsโ€™ experience in tax, ideally with exposure to transactional tax matters
  • Experience with federal income tax matters relating to M&A, private equity, funds or other corporate transactions preferred
  • Strong interest in developing a sophisticated transactional tax practice
  • Strong tax research, drafting and analytical skills
  • Comfortable working collaboratively with lawyers across different transactional practices
  • Commercially minded, organised and able to manage multiple matters
  • Strong academic and professional credentials
  • Pennsylvania Bar admission or eligibility to become admitted preferred
