Job description

Direct Counsel is seeking an Employment Transactions Associate Attorney to join an Am Law firmโ€™s Corporate / Private Equity practice in San Francisco, San Diego, Los Angeles, or Palo Alto.

This role is ideal for a mid-level associate with strong company-side employment law experience who is interested in focusing on transactional support and counseling within M&A and private equity deals.

Key Responsibilities:

  • Lead employment-related diligence for M&A and private equity transactions

  • Advise clients on day-to-day employment matters

  • Draft and review employment agreements and related documentation

  • Analyze complex labor and employment issues in transactional contexts

  • Interface directly with clients and deal teams

  • Mentor junior attorneys and support broader practice initiatives

Qualifications:

  • 4โ€“6 years of company-side labor & employment experience

  • Experience supporting M&A transactions and handling employment diligence

  • Background at an Am Law 100 or comparable firm preferred

  • Strong drafting, analytical, and communication skills

  • JD from an accredited law school

  • Admission to the California Bar required

Work Environment:
Hybrid schedule with regular in-office presence and flexibility for remote work.

Compensation:
$310,000 โ€“ $390,000 base salary, depending on experience and location.
