We are seeking an experienced Corporate M&A and Governance Paralegal to join our in-house legal team. In this role, you will provide broad support across M&A transactions, corporate governance, equity administration, compliance, filings, and post-closing matters while working closely with internal teams, outside counsel, registered agents, and other external partners.

Responsibilities:
  • Support M&A transactions, corporate governance, equity program administration, compliance matters, and post-closing legal work.

  • Work with outside counsel and internal stakeholders to support transaction execution, deal documentation, and related follow-up items.

  • Draft summaries of key deal terms and material information from M&A, equity, employment, and ancillary transaction documents for internal use.

  • Prepare and populate legal documents using approved templates, including corporate resolutions, LLC agreements, equity issuance documents, and related forms.

  • Maintain legal files, corporate governance records, organizational documents, M&A deal files, internal trackers, and related documentation.

  • Coordinate state and federal filings, registered agent matters, credit agreement compliance support, and other corporate maintenance activities.

  • Partner with Finance, HR, and other operational teams to coordinate deal terms, partner compensation and payment obligations, equity updates, and post-closing requirements.

  • Support partner equity matters, including equity repurchases, cap table updates, documentation, approvals, and related coordination with Legal and Finance.

  • Assist with legal operations platforms and service providers, including corporate records, entity management, and cap table administration tools.

Basic Qualifications:
  • Paralegal certification and/or associate or bachelor's degree preferred.

  • 10+ years of experience as a corporate paralegal, ideally with M&A, corporate governance, equity and entity management experience.

Preferred/Desired Qualifications:
  • In-house legal department experience preferred.

  • Experience supporting transaction documentation, corporate records, equity documents, legal filings, and post-closing activities.

  • Experience working with outside counsel and cross-functional business teams in a fast-paced legal or corporate environment.

  • Strong understanding of M&A deal terms, corporate governance, equity documentation, and related compliance processes.

  • Experience with entity management, cap table, or corporate records platforms such as CSC and Carta preferred.

  • Ability to manage multiple time-sensitive projects and coordinate across Legal, Finance, HR, and external partners.

  • Strong attention to detail, organization, proofreading skills, and ability to review work product for accuracy.

  • Sound judgment, discretion, and ability to handle confidential information.
